Objet<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3d70b71b05ce3826ea3aff5b827f4494\">Les pr\u00e9sentes conditions g\u00e9n\u00e9rales de vente (ci\u2013apr\u00e8s, \u00ab CGV \u00bb) ont pour objet de r\u00e9gir la\u00a0fourniture par la soci\u00e9t\u00e9 Eyesoft de services comprenant la vente ou la location d\u2019un casque de\u00a0r\u00e9alit\u00e9 virtuelle, la vente d\u2019accessoires, l\u2019installation et la mise en service d\u2019un logiciel dans les casques VR, la mise \u00e0 disposition d\u2019une plateforme de gestion et d\u2019un\u00a0logiciel, l\u2019assistance technique(ci\u2013apr\u00e8s, les \u00ab Services \u00bb) r\u00e9serv\u00e9s aux orthoptistes, ophtalmologues et centre de soins\u00a0 (ci\u2013apr\u00e8s, le ou les \u00ab Clients \u00bb) afin d\u2019\u00eatre utilis\u00e9s pour la mesure du champ visuel des patients\u00a0des Clients (ci\u2013apr\u00e8s, les \u00ab Patients \u00bb).<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-21f7d3b2cb948fc7219a09975a5cc5af\">Les Services sont fournis par la soci\u00e9t\u00e9 Eyesoft dont le si\u00e8ge social est situ\u00e9 76 boulevard Roosevelt 33800 Bordeaux, inscrite au RCS de Bordeaux sous le num\u00e9ro 833 515 026\u00a0(ci\u2013apr\u00e8s, \u00ab Eyesoft \u00bb).<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-526a0986138848abb1252032301481cf\">Les pr\u00e9sentes CGV pr\u00e9valent sur toutes autres conditions g\u00e9n\u00e9rales ou particuli\u00e8res des Clients.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-6bafc1823e10d6ccf0f7eb761ab87886\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>2. Acceptation et modification des CGV<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ac5378f7eaa52c3bc44872cd27beb459\">Les pr\u00e9sentes CGV s\u2019appliquent, sans restriction ni r\u00e9serve, \u00e0 toute commande de Casque,\u00a0d\u2019Accessoires, Location ou souscription d\u2019un service (ci\u2013apr\u00e8s, la \u00ab Commande \u00bb)\u00a0faite par le Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-bae76ecc9164b1798931bffe46488124\">Le Client s\u2019engage \u00e0 prendre connaissance des CGV avant toute Commande, \u00e9tant pr\u00e9cis\u00e9 que le\u00a0fait de passer commande d\u2019un Casque, d\u2019Accessoires et\/ou de souscrire \u00e0 un service, devra \u00eatre obligatoirement pr\u00e9c\u00e9d\u00e9 de l\u2019acceptation des CGV d\u2019Eyesoft, de sorte que les\u00a0CGV seront opposables au Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0ed6c223cadbe041d3eb931a10cd10df\">Eyesoft se r\u00e9serve le droit de modifier les CGV \u00e0 tout moment, notamment afin que celles\u2013ci\u00a0refl\u00e8tent toujours les fonctionnalit\u00e9s des Services. Toutefois, la version des CGV applicables \u00e0 la\u00a0Commande est la version en vigueur au\u00a0jour de la passation de la Commande.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-1ec9692c2874c4f50efde925b193537f\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>3. D\u00e9finitions<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-39778e1b5547ee32afe1dc3c954690c8\">\u00ab Abonnement \u00bb : D\u00e9signe l\u2019abonnement mensuel payant souscrit par le Client lors de la\u00a0Commande en contrepartie de la fourniture de Services par Eyesoft.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ab3fa0daf4ae1bd6234305d3a4ed6685\">\u00ab Accessoire \u00bb : D\u00e9signe un accessoire du Casque vendu par Eyesoft.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f5c9eeed30a7cb586f2af98f28822525\">\u00ab Casque \u00bb : D\u00e9signe le casque de r\u00e9alit\u00e9 virtuelle, ainsi que ses contr\u00f4leurs, fournis par\u00a0Eyesoft dans le cadre des Services. Ledit Casque est lou\u00e9 par le Client.\n\u00ab CGV \u00bb : D\u00e9signe les pr\u00e9sentes Conditions G\u00e9n\u00e9rales de Vente, constitu\u00e9es des Stipulations G\u00e9n\u00e9rales et Sp\u00e9ci\ufb01ques.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a763f7f6f0aa96b63ef5718ad709db92\">\u00ab Client \u00bb : D\u00e9signe tout client de Eyesoft qui proc\u00e8de \u00e0 une Commande.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-18332c402af4c2bebe7abf752883c8c5\">\u00ab Commande \u00bb : D\u00e9signe la Location du Casque dans le cadre de l\u2019offre\u00a0Eyesoft-Oculera (en ce inclus la p\u00e9riode d\u2019essai), la souscription d\u2019un Abonnement et la commande \u00e9ventuelle d\u2019un Accessoire par le Client. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b382665caef8dc13c78bf7f7cca280b7\">\u00ab Donn\u00e9es \u00bb : D\u00e9signent les donn\u00e9es \u00e0 caract\u00e8re personnel relatives \u00e0\u00a0un Patient identifi\u00e9 ou\u00a0identifiable au sens de la Loi Informatique et Libert\u00e9s et du RGPD.\n\u00ab Eyesoft \u00bb : D\u00e9signe la soci\u00e9t\u00e9 Eyesoft. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-48a5154e71512d239f45fda6d9946f4b\">\u00ab Location \u00bb d\u00e9signe la location (gratuite pendant la p\u00e9riode d\u2019essai ou payante) souscrite par le Client lors de la Commande en\u00a0contrepartie de la fourniture des Services par EYESOFT. La location peut s\u2019effectuer par l\u2019interm\u00e9diaire d\u2019EYESOFT ou d\u2019un des organismes financiers partenaires, selon les modalit\u00e9s en\u00a0vigueur au\u00a0moment de la souscription.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-26d38f1fd0002558dcf288283957d0b8\">\u00ab Logiciel \u00bb : D\u00e9signe le logiciel de mesure du champ visuel  orthoptique \u00e9dit\u00e9 par Oculera et fourni par Eyesoft dans le\u00a0cadre des Services et int\u00e9gr\u00e9 au Casque.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-783e15b85d15d2bdc62e73195e292fed\">\u00ab Loi Informatique et Libert\u00e9s \u00bb : D\u00e9signe la loi n\u00b078\u201317 du 6 janvier 1978 relative \u00e0 l\u2019Informatique,\u00a0aux Fichiers et aux Libert\u00e9s telle que modifi\u00e9e.\n\u00ab\u00a0Oculera\u00a0\u00bb\u00a0: D\u00e9signe la soci\u00e9t\u00e9 Oculera, soci\u00e9t\u00e9 de droit turc, enregistr\u00e9e aupr\u00e8s du registre de commerce d\u2019Ankara sous le num\u00e9ro 454615 et dont le si\u00e8ge social est situ\u00e9 \u00e0 Ostim OSB Mah. 100. Y\u0131l Bul. No: 55e \u0130\u00e7 Kap\u0131 No: 14 Yenimahalle\/Ankara. Oculera est l\u2019\u00e9ditrice du Logiciel.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0b24e5d835c4731acd65d02674667c1c\">\u00ab Partie(s) \u00bb : D\u00e9signe(nt) individuellement ou collectivement la ou les parties aux pr\u00e9sentes CGV.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7464b98fa4825096d787804aeebd992f\">\u00ab Patient(s) \u00bb : D\u00e9signe(nt) les utilisateurs du Casque et du Logiciel.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d3991ac5b15c4c14e089c4c13f06ae30\">\u00ab Plateforme \u00bb : D\u00e9signe la plateforme de suivi et de gestion des Patients \u00e9dit\u00e9e par Oculera et fournie par Eyesoft dans le cadre des Services.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5c9d92586f72ecba748af227920d8a41\">\u00ab Prix \u00bb : D\u00e9signe le prix des Services selon l\u2019offre s\u00e9lectionn\u00e9e par le Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b6069bef3e037fadad2d19e4b0bae67a\">\u00ab RGPD \u00bb : D\u00e9signe le R\u00e8glement europ\u00e9en sur la protection des donn\u00e9es n\u00b02016\/679 du 27 avril\u00a02016.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1fe6c4a84b8d47ce852f8eee208abd0f\">\u00ab Services \u00bb : D\u00e9signent les services fournis par Eyesoft tels que d\u00e9taill\u00e9s dans les Stipulations\u00a0G\u00e9n\u00e9rales et Sp\u00e9cifiques.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5b4af7d987cc8e2e49d76bda0749fb41\">\u00ab Site \u00bb : D\u00e9signe le site internet &lt; https:\/\/www.eyesoft.fr\/&gt;.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-f53defb83da167360476d9c39be90824\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>4. Description des Services<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3efbebad7c4520c1f7ee29a13cfe194c\">Dans le cadre des pr\u00e9sentes, Eyesoft fournit au Client les Services d\u00e9taill\u00e9s au sein des\u00a0Stipulations Sp\u00e9cifiques, en particulier pour l\u2019offre s\u00e9lectionn\u00e9e par le Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8fed31b13e15cbc27614d6ae33f64b0e\">Les Services peuvent comprendre :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 La\u00a0fourniture d\u2019un Casque et\/ou de ses Accessoires ;  <\/li>\n\n\n\n<li>\u2713 L\u2019installation d\u2019un logiciel dans les Casques\u00a0;  <\/li>\n\n\n\n<li>\u2713 La mise \u00e0 disposition du Logiciel;  <\/li>\n\n\n\n<li>\u2713 La mise \u00e0 disposition\u00a0de la Plateforme\u00a0;  <\/li>\n\n\n\n<li>\u2713 La mise en service et la formation \u00e0 l\u2019utilisation du Casque et du Logiciel<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b5c01836d0dbb15a240775bc7cfd70e2\">Le Client est inform\u00e9 et reconna\u00eet que le Logiciel constitue un dispositif m\u00e9dical de classe II.a.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3bff68c8da645adf22d8cbdd4696e4a8\">Le Client pourra fournir aux Patients le Casque, l\u2019Accessoire et le Logiciel int\u00e9gr\u00e9 afin de proc\u00e9der\u00a0\u00e0 la mesure du champ visuels au sein des locaux du Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-162c5d5f70a3018f71393a3ca649d197\">Le Client est inform\u00e9 que l\u2019utilisation des Services n\u00e9cessite une connexion internet et un r\u00e9seau\u00a0Wifi stable ainsi que d\u2019un ordinateur.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-2bb62018ff3a9c3bb6455d2a2c773c3a\">Le Client s\u2019engage \u00e0 prendre connaissance des Stipulations Sp\u00e9cifiques, en particulier celles\u00a0applicables \u00e0 l\u2019offre s\u00e9lectionn\u00e9e.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-dff7beee7f53dd45ad636b48183c4f36\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>5. Commande des Services, du Casque et des Accessoires<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a8fe428d21a790cb0ea32733448dd4e1\">Le Client qui souhaite obtenir les Services proc\u00e8de \u00e0 la Commande aupr\u00e8s des \u00e9quipes commerciales d\u2019Eyesoft.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-66699a845f00b86f5680b1c64472fb4e\">Lors de la Commande, le Client s\u2019engage \u00e0 fournir les informations suivantes n\u00e9cessaires pour la\u00a0bonne fourniture des Services :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Son identit\u00e9\u00a0: carte d\u2019identit\u00e9\u00a0;  <\/li>\n\n\n\n<li>\u2713 Ses coordonn\u00e9es\u00a0: nom, pr\u00e9nom, adresse e\u2013mail, adresse postale, num\u00e9ro de t\u00e9l\u00e9phone\u00a0;   <\/li>\n\n\n\n<li>\u2713 Ses informations professionnelles\u00a0: SIRET\/SIREN\u00a0;  <\/li>\n\n\n\n<li>\u2713 Ses informations bancaires (empreinte bancaire) \u00a0;  <\/li>\n\n\n\n<li>\u2713 Attestation responsabilit\u00e9 civile professionnelle.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-801d17b0fffcba1bb85d50cbd9cf1337\">La Commande du Casque dans le cadre des offres de services et des Accessoires\u00a0s\u2019effectue par e\u2013mail aupr\u00e8s d\u2019Eyesoft. Eyesoft fait parvenir au Client un\u00a0bon de la\u00a0Commande (comportant la d\u00e9signation des produits, quantit\u00e9, prix) ainsi que les pr\u00e9sentes CGV dont le Client\u00a0conserve une copie. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-bb51eb1ffdb4ef4daf079c5ea4ae34d1\">La signature \u00e9lectronique du bon de Commande par le Client constitue un\u00a0engagement ferme et d\u00e9finitif du Client de proc\u00e9der \u00e0\u00a0la Commande. Eyesoft fait parvenir au Client une\u00a0confirmation de sa Commande.\u00a0<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-ea519f4b3a4170aff24d9db5161fbc8e\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>6. D\u00e9p\u00f4t de garantie<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-86569b3eba8a70cc869bc64745eca238\">Le Client est inform\u00e9 qu\u2019une caution d\u2019un montant de neuf cents euros (900\u20ac) TTC est exig\u00e9e lors de la Commande avant tout envoi du Casque. La caution se mat\u00e9rialise par un relev\u00e9 d\u2019empreinte bancaire du Client conserv\u00e9 par EYESOFT durant la p\u00e9riode d\u2019essai et\/ou la dur\u00e9e de l\u2019Abonnement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0f9200c918b25002e9dcd2ab8476854b\">L\u2019empreinte bancaire est supprim\u00e9e dans un d\u00e9lai de dix (10) jours maximum \u00e0 compter de la r\u00e9ception du Casque et sous r\u00e9serve de son bon \u00e9tat de fonctionnement v\u00e9rifi\u00e9 par EYESOFT, conform\u00e9ment \u00e0 l\u2019article \u00ab\u00a0R\u00e9ception du Casque\u00a0\u00bb des CGV.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1bd7de18e575b9ed2b2459ec83490af1\">Le Client s\u2019engage \u00e0 transmettre \u00e0 EYESOFT ses coordonn\u00e9es bancaires actualis\u00e9es en cas d\u2019expiration de sa carte bancaire pendant la dur\u00e9e de l\u2019Abonnement.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-db60a3cd2d6b7b4ac81dcfd1202a6ad2\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>7. Fourniture du Casque et des Accessoires<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>7.1. Description du Casque et des Accessoires<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8da3410b427d5896292334c69f7d8fa3\">Dans le cadre des Services, Eyesoft loue un ou plusieurs Casques et ses Accessoires, et\/ou vend des Accessoires\u00a0au Client dans les conditions pr\u00e9vues aux pr\u00e9sentes.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-37558d13150bbcaecbd4037fc0800e11\">Le Casque est un casque de r\u00e9alit\u00e9 virtuelle disposant des caract\u00e9ristiques d\u00e9taill\u00e9es au sein des\u00a0Stipulations Sp\u00e9cifiques.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-71b9e22b256158c12b8e13e561f95f41\">Les Accessoires sont disponibles \u00e0 l\u2019achat aupr\u00e8s des \u00e9quipes Eyesoft..<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>7.2. Conditions d\u2019utilisation du Casque<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-dbd0baff70dea14e46f703ea78231bce\">Dans le cadre des Services, le Client s\u2019engage \u00e0 lire, respecter, et \u00e0 faire respecter par les\u00a0Patients, les conditions d\u2019utilisation du Casque ci-dessous, \u00e0 :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Ne pas exposer les lentilles optiques du Casque\u00a0\u00e0 la lumi\u00e8re directe du soleil. Le Client\u00a0reconna\u00eet que l\u2019exposition \u00e0 la lumi\u00e8re directe du soleil pendant moins d\u2019une minute peut\u00a0causer des d\u00e9g\u00e2ts sous forme de tache jaune sur l\u2019\u00e9cran. Le Client s\u2019engage \u00e0 prendre des\u00a0pr\u00e9cautions suppl\u00e9mentaires\u00a0lors des conditions de forte luminosit\u00e9 (utilisation proche\u00a0d\u2019une fen\u00eatre ou d\u2019une forte source d\u2019\u00e9clairage direct);  <\/li>\n\n\n\n<li>\u2713 Prot\u00e9ger les lentilles optiques pendant l\u2019utilisation et le stockage du Casque afin d\u2019\u00e9viter\u00a0que des objets ne rayent les lentilles ;  <\/li>\n\n\n\n<li>\u2713 Recharger le casque r\u00e9guli\u00e8rement (y compris lorsqu\u2019il n\u2019est pas utilis\u00e9 pendant une p\u00e9riode de plus d\u2019un mois), et d\u00e8s l\u2019apparition du message d\u2019alerte de niveau de batterie faible\u00a0;  <\/li>\n\n\n\n<li>\u2713 Ne pas faire fonctionner le Casque \u00e0 un volume trop \u00e9lev\u00e9 pendant une p\u00e9riode prolong\u00e9e.\u00a0Le Client reconna\u00eet qu\u2019un volume trop \u00e9lev\u00e9 peut endommager l\u2019ou\u00efe du Patient\u00a0;  <\/li>\n\n\n\n<li>\u2713 Faire une pause toutes les 30 minutes en cas d\u2019utilisation prolong\u00e9e et ne pas faire plus\u00a0d\u2019une session par jour par Patient. Une utilisation prolong\u00e9e peut causer des\u00a0\u00e9tourdissements ou de la fatigue oculaire ;  <\/li>\n\n\n\n<li>\u2713 Arr\u00eater imm\u00e9diatement d\u2019utiliser le Casque en cas d\u2019anomalies visuelles (diplopie et\u00a0distorsion de la vue, inconfort ou douleur oculaire, etc.), transpiration excessive, naus\u00e9es,\u00a0vertiges, palpitations, d\u00e9sorientation, perte d\u2019\u00e9quilibre, etc\u00a0;  <\/li>\n\n\n\n<li>\u2713 S\u2019assurer d\u2019avoir suffisamment d\u2019espace pour \u00e9viter les accidents, en particulier en cas\u00a0d\u2019utilisation du Casque en int\u00e9rieur ;  <\/li>\n\n\n\n<li>\u2713 Ne pas utiliser le Casque pr\u00e8s des escaliers, des fen\u00eatres, des sources de chaleur ou\u00a0d\u2019autres zones dangereuses ;  <\/li>\n\n\n\n<li>\u2713 Utiliser le Casque en position assise et sur une assise stable ;  <\/li>\n\n\n\n<li>\u2713 Utiliser les exercices de fusion uniquement sur les Patients en correspondance cortico\u2013r\u00e9tinienne normale ;  <\/li>\n\n\n\n<li>\u2713 Ne pas utiliser sur les Patients atteints d\u2019\u00e9pilepsie.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-96b99b12e5b11dce173078831f066e63\">Pour une meilleure exp\u00e9rience, il est recommand\u00e9 d\u2019utiliser la manette incluse. Toutefois, le\u00a0Patient peut utiliser les boutons du Casque pour effectuer des op\u00e9rations\u00a0de base.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-983347b491f7a916c7ec148bd3437bcd\">Les Patients am\u00e9tropes peuvent utiliser le Casque avec leur correction (lunettes ou lentilles de\u00a0contact) conform\u00e9ment aux instructions au sein des conditions d\u2019utilisation du Casque.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-9a05d6a4e78aa9cf198c2c45208ba965\">Ce produit n\u2019est pas recommand\u00e9 pour les Patients de moins de 8 ans. Les enfants de plus de 8\u00a0ans ne doivent utiliser le Casque que sous la surveillance d\u2019un adulte.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ee48940cddcd6ecc1d524cf3665cd1b0\">Le Client est invit\u00e9 \u00e0 prendre connaissance, le cas \u00e9ch\u00e9ant, des conditions d\u2019utilisation\u00a0particuli\u00e8res mentionn\u00e9es dans les Stipulations Sp\u00e9cifiques\u00a0applicables \u00e0 l\u2019offre s\u00e9lectionn\u00e9e.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>7.3. Conformit\u00e9\u2013\u00a0Livraison et Garantie<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>7.3.1. Conformit\u00e9 du Casque et des Accessoires<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-c32cfd09d0c85d3e8b2103a3fe9455b2\">Eyesoft s\u2019engage \u00e0 mettre \u00e0 disposition un Casque en bon \u00e9tat de fonctionnement, sans d\u00e9faut,\u00a0dans le cadre d\u2019une utilisation pr\u00e9vue en rapport avec le Logiciel et la Plateforme, conforme aux\u00a0sp\u00e9cifications techniques et qui respecte la r\u00e9glementation applicable, notamment en mati\u00e8re de\u00a0s\u00e9curit\u00e9.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5aeed87be74f3ac564c412d716698d22\">Le Patient s\u2019engage \u00e0 respecter les conditions d\u2019usage d\u00e9finies par Eyesoft. Toute autre\u00a0utilisation du Casque non pr\u00e9vue engendre l\u2019annulation de la garantie.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-33c1175265a1e1200990ad6669973f93\">Si un mod\u00e8le de Casque ou d\u2019Accessoire est en rupture de stock, Eyesoft se r\u00e9serve le droit de le\u00a0remplacer par un mod\u00e8le aux fonctionnalit\u00e9s \u00e9quivalentes.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">7.3.2. Livraison<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-c68d83e6717fc22b07e06e8009a52ec2\">Le Casque lou\u00e9 ou l\u2019Accessoire achet\u00e9 sera livr\u00e9 au Client, par transporteur type Colissimo\u00a0suivi et contre signature, \u00e0 l\u2019adresse\u00a0mentionn\u00e9e lors de la Commande.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-9c81a60a8e3fb4ccd4764a79774335fb\">\u00c0 la r\u00e9ception du Casque ou de l\u2019Accessoire, le Client s\u2019engage \u00e0 l\u2019inspecter, v\u00e9rifier son \u00e9tat, et\u00a0signaler toute r\u00e9serve au livreur, notamment en signant les documents ad\u00e9quats mis \u00e0 sa\u00a0disposition par ledit livreur.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4ab804e3e3c0e04a6d5a9923de70ab16\">En cas de r\u00e9serves, le Client en informera \u00e9galement Eyesoft dans les meilleurs d\u00e9lais \u00e0 l\u2019adresse\u00a0: contact@eyesoft.fr.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-23a9c3f90565612613f3146cd6b9255e\">Les d\u00e9lais de livraison mentionn\u00e9s lors de la Commande sont indicatifs et sous r\u00e9serve de la\u00a0disponibilit\u00e9 du Casque ou de l\u2019Accessoire\u00a0au jour de la Commande.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">7.3.3 Garantie<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d82d54b67e572b27de2744fcb221ace5\">La garantie s\u2019applique pour le Casque uniquement et prend effet \u00e0 compter de la livraison, pour la dur\u00e9e de l\u2019Abonnement\nEyesoft s\u2019engage, pendant la dur\u00e9e de garantie vis\u00e9e ci\u2013dessus, \u00e0 remplacer le Casque d\u00e9fectueux par un autre Casque \u00e9quivalent conforme aux pr\u00e9sentes\u00a0dans les meilleurs d\u00e9lais, sauf en cas de force majeure telle que d\u00e9finie par la\u00a0loi (article 1218 du\u00a0Code civil).\nLa garantie n\u2019est pas applicable dans les cas o\u00f9 la d\u00e9faillance est due \u00e0 :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Une casse ou panne li\u00e9e \u00e0 un non\u2013respect des conditions d\u2019utilisation du Casque par le\u00a0Client et les Patients,  <\/li>\n\n\n\n<li>\u2713 La modification du Casque,  <\/li>\n\n\n\n<li>\u2713 Le Casque n\u2019a pas \u00e9t\u00e9 install\u00e9, recharg\u00e9, utilis\u00e9, r\u00e9par\u00e9 ou entretenu\u00a0conform\u00e9ment\u00a0aux instructions fournies.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6db99813b9e7352a540c21de8159eb03\">Dans le cas o\u00f9 la garantie ne serait pas applicable, les frais de remplacement ou de r\u00e9paration du Casque d\u00e9fectueux seront support\u00e9s par le Client et pr\u00e9lev\u00e9s du d\u00e9p\u00f4t de garantie.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6344a6b3cd7e6f38de5a8631a9cef38f\">Le Client retournera le Casque \u00e0 Eyesoft \u00e0 l\u2019adresse suivante : Eyesoft,\u00a012 rue Dumonteil \u2013 33000 Bordeaux. Le Client reconna\u00eet que les frais d\u2019envoi de retour\u00a0sont \u00e0 sa charge.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-d16990ed1d02f0621b8edd64e6e1390a\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>8. Installation et mise en service<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>8.1. Installation du Logiciel<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-2c911dbc536bb363874cc611073dde17\">Dans le cadre des Services, Eyesoft met \u00e0 disposition du Client un Casque pr\u00eat \u00e0 \u00eatre utilis\u00e9 incluant les \u00e9tapes suivantes\u00a0:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 La configuration du Casque et mise \u00e0 niveau du firmware\u00a0;   <\/li>\n\n\n\n<li>\u2713 L\u2019installation et la configuration du Logiciel ;   <\/li>\n\n\n\n<li>\u2713 Les v\u00e9rifications de s\u00e9curit\u00e9 et de bon fonctionnement du Logiciel<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>8.2. Mise en service<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-eb300681b3f31d16bc4b2ec19578d187\">Dans le cadre des Services, Eyesoft fournit au Client un accompagnement personnalis\u00e9 pour la mise en service comprenant\u00a0: <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 La cr\u00e9ation d\u2019un compte client permettant d\u2019utiliser le Logiciel en lien avec la Plateforme.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-35d2396fa631323cd27ef7c68d626947\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>9. Mise \u00e0 disposition du Logiciel<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>9.1. Description du Logiciel<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-59c001401c8ea82988e0c2878243c2ad\">Dans le cadre des Services, Eyesoft met un Logiciel embarqu\u00e9 dans un Casque permettant la mesure du champ visuel \u00e0\u00a0disposition du Client pendant toute la dur\u00e9e de l\u2019Abonnement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-e270be8883981406f32f5f79470f62ae\">Le Client est invit\u00e9 \u00e0 prendre connaissance des Stipulations Sp\u00e9cifiques afin de conna\u00eetre les\u00a0particularit\u00e9s du Logiciel dans le cadre des diff\u00e9rentes offres.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>9.2. Licence d\u2019utilisation du Logiciel<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-dee636b9d319c1f279fe60287a4fd101\">Eyesoft conc\u00e8de au Client, \u00e0\u00a0titre non exclusif, non transf\u00e9rable, un droit d\u2019utilisation du Logiciel en\u00a0code objet et ce, pour la dur\u00e9e des pr\u00e9sentes CGV, pour le territoire fran\u00e7ais et pour les besoins\u00a0internes du Client aux fins de mesure du champ visuel.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b17ae9cb1a4ad5c95bf9eb54fa50d624\">Toute utilisation du Logiciel non express\u00e9ment autoris\u00e9e au titre des pr\u00e9sentes CGV est interdite.\u00a0\u00c0 ce titre et notamment, le Client s\u2019interdit de :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Mettre tout ou partie du Logiciel \u00e0 la disposition de tiers, m\u00eame gratuitement, et ce, de\u00a0quelque mani\u00e8re que ce soit,  <\/li>\n\n\n\n<li>\u2713 Permettre l\u2019utilisation du Logiciel par toute personne autre que les Patients,  <\/li>\n\n\n\n<li>\u2713 Divulguer tout ou partie du Logiciel \u00e0 toute personne autre que les Patients,  <\/li>\n\n\n\n<li>\u2713 Traiter les donn\u00e9es de tiers au moyen du Logiciel \u00e0 l\u2019exclusion des donn\u00e9es des Patients,  <\/li>\n\n\n\n<li>\u2713 Imprimer, transf\u00e9rer, transmettre ou afficher tout ou partie du Logiciel sauf pour les besoins\u00a0du Client,  <\/li>\n\n\n\n<li>\u2713 Modifier\/adapter le Logiciel et\/ou fusionner tout ou partie du Logiciel dans d\u2019autres\u00a0programmes informatiques, notamment en vue de le rendre\u00a0conforme \u00e0 sa destination,\u00a0dans la mesure o\u00f9 Oculera se r\u00e9serve express\u00e9ment le droit de proc\u00e9der aux corrections,\u00a0adaptations et modifications n\u00e9cessaires,  <\/li>\n\n\n\n<li>\u2713 Compiler le Logiciel, le d\u00e9compiler, le d\u00e9sassembler, le traduire, l\u2019analyser, proc\u00e9der au\u00a0reverse\u2013engineering ou tenter d\u2019y proc\u00e9der,  <\/li>\n\n\n\n<li>\u2713 \u00e9crire, faire \u00e9crire, cr\u00e9er, faire d\u00e9velopper, tout programme informatique d\u00e9riv\u00e9 du Logiciel,  <\/li>\n\n\n\n<li>\u2713 Alt\u00e9rer, enlever, dissimuler ou modifier toute information indiquant le titulaire des droits de\u00a0propri\u00e9t\u00e9 intellectuelle aff\u00e9rents au Logiciel.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d67d06af0f1ca314cd12e3f1af37833c\">Eyesoft garantit, pendant une p\u00e9riode de 30 jours \u00e0 compter de sa livraison au Client, que le\u00a0Logiciel fonctionne correctement. La seule\u00a0responsabilit\u00e9 d\u2019Eyesoft au titre de la garantie consiste\u00a0\u00e0 donner la possibilit\u00e9 au Client de t\u00e9l\u00e9charger \u00e0 nouveau le Logiciel au sein du disque dur du\u00a0Casque.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3fe829313952558b4ad8d7e2923f1406\">Eyesoft est lib\u00e9r\u00e9e de toute obligation au titre de la garantie pr\u00e9vue ci\u2013dessus si les\u00a0dysfonctionnements ne sont pas imputables au Logiciel.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-78cc64178a72293dfcbcf160d186f8a5\">Eyesoft ne consent aucune autre garantie expresse, tacite ou l\u00e9gale quant au fonctionnement du\u00a0Logiciel. Eyesoft ne garantit pas que le Logiciel est exempt d\u2019erreurs ou de risques d\u2019interruption.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-11e682fdf016bd981bede68ffe4c0b75\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>10. Mise\u00a0\u00e0 disposition de la Plateforme<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-24d47e9f362a29e940e7c384a09f778c\">Dans le cadre de l\u2019offre  Eyesoft-Oculera, le Client reconna\u00eet qu\u2019il doit n\u00e9cessairement disposer d\u2019un\u00a0Abonnement \u00e0 l\u2019offre  Eyesoft-Oculera afin d\u2019avoir acc\u00e8s \u00e0 la Plateforme. \u00c0 d\u00e9faut, le Client ne pourra\u00a0utiliser les Services de l\u2019offre  Eyesoft-Oculera.  <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>10.1. Description de la Plateforme<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-401bcd71ae5cf38042f7b8cf817c9f3b\">Dans le cadre des Services, Eyesoft met une Plateforme de suivi et\u00a0des Patients \u00e0 disposition du Client pendant toute la dur\u00e9e de l\u2019Abonnement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a05929b32973241360dd22aedc58d326\">La Plateforme est fournie en mode SAAS et accessible par internet \u00e0 l\u2019adresse\u00a0https:\/\/oculera.health<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a6a87fddc3fe560552874fceb5cf0d16\">Cette Plateforme permet de :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Consulter et modifier ses informations personnelles (nom, pr\u00e9nom, profession, adresse e\u2013\nmail, r\u00f4le, adresse postale) ;  <\/li>\n\n\n\n<li>\u2713 R\u00e9initialiser son mot de passe ;  <\/li>\n\n\n\n<li>\u2713 G\u00e9rer les fonctionnalit\u00e9s de mesure du champ visuel  <\/li>\n\n\n\n<li>\u2713 G\u00e9rer les fonctionnalit\u00e9s\u00a0de suivi des \u00e9volutions des mesures de champ visuel ;  <\/li>\n\n\n\n<li>\u2713 G\u00e9rer les Patients et en particulier leur suivi (s\u00e9ances, \u00e9volutions, dur\u00e9e\u2026).<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b69315753f343c8b04de87b361849154\">Eyesoft cr\u00e9e le compte sur la Plateforme pour le compte du Client. Le Client s\u2019engage \u00e0 fournir des\u00a0informations exactes et \u00e0 jour au sein de la Plateforme.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8c85381122888a2846079fa97818f607\">Le Client est inform\u00e9 qu\u2019Oculera se r\u00e9serve le droit de modifier \u00e0 tout moment la Plateforme pour la bonne fourniture des\u00a0Services.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>10.2. Droit d\u2019utilisation de la Plateforme<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1d43c6e55dab5c6f3d4b3805f950749c\">Les CGV ne conf\u00e8rent au Client aucun titre ou droit de propri\u00e9t\u00e9 sur la Plateforme ou tout \u00e9l\u00e9ment\u00a0la composant (logiciels, structure de base de donn\u00e9es, marques, logos graphismes, textes), \u00e0\u00a0l\u2019exception d\u2019un droit d\u2019utilisation de la Plateforme en contrepartie du paiement de l\u2019Abonnement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6b1eeced30f112135b432aad208dbe9d\">Le droit d\u2019utilisation est conc\u00e9d\u00e9 uniquement au Client, pour la France, dans les limites\u00a0d\u00e9crites dans les pr\u00e9sentes CGV et \u00e0 la dur\u00e9e de celles\u2013ci.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-674322d4d5d59fdc62b5e7a023ecc878\">Le droit conc\u00e9d\u00e9 est personnel, non exclusif, non transmissible et non cessible.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7ecde8e1a75cb3f14d3b51f956686996\">Le Client ne pourra copier, modifier, notamment en d\u00e9compilant, alt\u00e9rer, adapter, notamment en\u00a0traduisant, arranger et plus g\u00e9n\u00e9ralement modifier tout ou partie de la Plateforme. Il ne pourra pas\u00a0non plus la reproduire de fa\u00e7on permanente ou provisoire en tout ou partie, par tout moyen et sous\u00a0toute forme.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-fc71f6ce6e12ec7a0fa76a86691e1042\">Sont soumis \u00e0 la licence du pr\u00e9sent article toute correction, mise \u00e0 jour ou nouvelle version de la\u00a0Plateforme.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>10.3. Limitations de l\u2019utilisation de la Plateforme<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b7ae42d69fbe1437dc431af7c92696f6\">Le Client s\u2019engage notamment \u00e0 :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Ne pas perturber le fonctionnement de la Plateforme ;  <\/li>\n\n\n\n<li>\u2713 Ne pas extraire, r\u00e9utiliser, stocker, reproduire, repr\u00e9senter ou conserver, directement ou\u00a0indirectement, sur un support quelconque, par tout moyen, et sous quelque forme que ce\u00a0soit, tout ou partie de la Plateforme qui constitue une base de donn\u00e9es prot\u00e9g\u00e9e par la loi.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1d84c884cf33edf323275adec1afe6da\">Le Client reconna\u00eet qu\u2019il est fortement recommand\u00e9 de ne pas stocker sur la Plateforme de\u00a0contenu contenant des donn\u00e9es sensibles (par exemple des informations concernant la sant\u00e9,\u00a0l\u2019origine raciale ou ethnique, les opinions religieuses).<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>10.4.\u00a0S\u00e9curit\u00e9 du compte sur la Plateforme<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4fa28683662e5a826ad9d1d7e0430f7b\">L\u2019identifiant et le mot de passe d\u00e9termin\u00e9 par Oculera permettant au Client d\u2019acc\u00e9der \u00e0 son compte sur la\u00a0Plateforme sont strictement confidentiels et personnels.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-fdec75c55d62a6ed9e665f737531144d\">Le Client est seul responsable de l\u2019utilisation qui pourrait \u00eatre faite de l\u2019identifiant et de son mot de\u00a0passe ou de son compte et se porte garant de leur caract\u00e8re confidentiel, et par suite, de toute\nutilisation qui pourra \u00eatre faite de son compte.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5f415f06d1f953d635401c55a2dd549e\">En tout \u00e9tat de cause, le Client s\u2019engage \u00e0 informer imm\u00e9diatement Eyesoft de toute utilisation\u00a0qu\u2019il n\u2019aurait pas autoris\u00e9e et de toute atteinte \u00e0 la confidentialit\u00e9 ou s\u00e9curit\u00e9 de ses donn\u00e9es\u00a0d\u2019identification.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-28657279fac0469073aba649dce60bfd\">Si, par la faute du Client, il est fait une utilisation non autoris\u00e9e de ses identifiants, le Client sera\u00a0exclusivement responsable de tout acte r\u00e9sultant de l\u2019utilisation d\u00e9tourn\u00e9e de la Plateforme ou des\u00a0Services. Eyesoft ne pourra en aucun cas \u00eatre tenue responsable de toute perte ou de tout\u00a0dommage r\u00e9sultant d\u2019un non\u2013respect des obligations du Client stipul\u00e9es au pr\u00e9sent article.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-a25470214d879d4c84dc42c8a74a283c\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>11. Dur\u00e9e<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0fbfde70380a5cef7eddf5af4f996f04\">Les pr\u00e9sentes CGV sont conclues pour toute la dur\u00e9e de la Commande et\/ou de l\u2019Abonnement, ou le\u00a0cas \u00e9ch\u00e9ant de la p\u00e9riode d\u2019essai.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>11.1. P\u00e9riode d\u2019essai gratuite applicable \u00e0 l\u2019offre  Eyesoft-Oculera uniquement<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3e4fd6145fe70691d3fc778c785f804e\">Dans le cadre l\u2019offre  Eyesoft-Oculera uniquement, le Client dispose d\u2019une p\u00e9riode d\u2019essai gratuite de trente (30) jours \u00e0 compter de la\u00a0r\u00e9ception du Casque afin d\u2019essayer les Services.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7f24864717c6edc01f240b1e8f9e97a3\">Durant cette p\u00e9riode d\u2019essai, le Client recevra l\u2019offre de\u00a0Location de la part de l\u2019organisme financier partenaire ou d\u2019EYESOFT.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-bebf2dbc7ecc241c950b7b5f0a3b13a6\">Dans le cas o\u00f9 le Client ne souhaite pas souscrire un Abonnement au terme de la p\u00e9riode d\u2019essai, il en informe EYESOFT par e-mail \u00e0 l\u2019adresse contact@eyesoft.fr et s\u2019engage dans ce cas \u00e0 restituer le Casque dans les conditions pr\u00e9vues\u00a0\u00e0 l\u2019article \u00ab\u00a0Restitution du Casque \u00bb.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-73cf17cde95e9a1bb81067f7b81c9984\">L\u2019absence de restitution du Casque dans un d\u00e9lai de quinze (15) jours apr\u00e8s la fin de\u00a0la p\u00e9riode d\u2019essai, entra\u00eene l\u2019encaissement par EYESOFT de la garantie de neuf cents euros TTC (900\u20ac), ce que le Client reconnait et accepte sans r\u00e9serve.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>11.2. Dur\u00e9e de l\u2019Abonnement<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">11.2.1. Dur\u00e9e initiale<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-754a57f38ae99bc87bd85e84b8e61f5d\">Les services propos\u00e9s par Eyesoft sont\u00a0accessibles par Location, avec un engagement de douze (12) ou trente\u2013six (36) mois,\u00a0aupr\u00e8s d\u2019Eyesoft directement ou via un organisme financier partenaire d\u2019Eyesoft.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f641505a69c1dba95bf8bdd7e925a699\">Les modalit\u00e9s (accord, montant) seront pr\u00e9sent\u00e9es et convenues entre EYESOFT et le Client, et\u00a0l\u2018organisme de leasing partenaire le cas \u00e9ch\u00e9ant, au moment du choix de financement par le Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-298b1a653859154864bdf5b5b4b60071\">La p\u00e9riode de Location d\u00e9bute \u00e0 la date de signature <strong>(i)<\/strong> du bon de Commande avec EYESOFT ou <strong>(ii)<\/strong> du contrat avec le partenaire financier d\u2019EYESOFT.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">11.2.2. Reconduction automatique de l\u2019Abonnement et d\u00e9nonciation<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-39dc739425f3b1d60667a6fc644e32a7\">Au terme de la dur\u00e9e initiale, le contrat sera reconduit tacitement pour des dur\u00e9es identiques \u00e0 celle pr\u00e9vue dans le contrat initial, selon les modalit\u00e9s\u00a0tarifaires et de r\u00e8glement en\u00a0vigueur au moment du renouvellement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f73001b3f6d8b7e6377cb684363df1ea\">La d\u00e9nonciation du contrat pourra intervenir \u00e0 l\u2019initiative de l\u2019une ou l\u2019autre des Parties \u00e0 l\u2019issue de la dur\u00e9e initiale du contrat, puis \u00e0 chaque date anniversaire de la reconduction du contrat et, sous r\u00e9serve de la notification de l\u2019autre Partie par e-mail. Le Client fera parvenir un e-mail \u00e0 EYESOFT \u00e0 l\u2019adresse suivante\u00a0: <a href=\"mailto:service@eyesoft.fr\">service@eyesoft.fr<\/a>.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0f502912411878ababa6542b609c490d\">La d\u00e9nonciation devra \u00eatre notifi\u00e9e moyennant le respect d\u2019un pr\u00e9avis de deux (2) mois, et emportera application des stipulations pr\u00e9vues \u00e0 l\u2019article \u00ab Modalit\u00e9s de fin du contrat \u00bb.\nDans le cas d\u2019un contrat avec l\u2019organisme financier partenaire, le contrat pourra \u00eatre renouvel\u00e9 et\/ou d\u00e9nonc\u00e9 de la\u00a0m\u00eame mani\u00e8re, aupr\u00e8s d\u2019EYESOFT.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-2970616df95f77fd30393a85736986bc\">Le Client a la possibilit\u00e9 de r\u00e9silier par anticipation l\u2019Abonnement dans les conditions d\u00e9finies \u00e0 l\u2019article \u00ab\u00a0R\u00e9siliation par anticipation\u00a0\u00bb<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-c53eae174102e1e964fe4133cad82414\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>12. R\u00e9siliation<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>12.1\u00a0R\u00e9siliation pour manquement de l\u2019une des Parties<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-37db34be7088ec30488a63cfcd94bcdd\">En cas de manquement par l\u2019une ou l\u2019autre des Parties \u00e0 ses obligations au titre des pr\u00e9sentes\u00a0CGV, l\u2019autre Partie adressera \u00e0 la Partie d\u00e9faillante une mise en demeure, par lettre recommand\u00e9e\u00a0avec demande d\u2019avis de r\u00e9ception de rem\u00e9dier au manquement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-faf4770052ccf0c3a4fba91fe9f998bf\">Si cette mise en demeure est rest\u00e9e infructueuse trente (30) jours \u00e0 compter de la r\u00e9ception de\u00a0celle\u2013ci, la Partie pourra prononcer la r\u00e9siliation de plein droit du contrat, sans autre formalit\u00e9 que\u00a0l\u2019envoi \u00e0 la Partie d\u00e9faillante, d\u2019une seconde lettre recommand\u00e9e avec demande d\u2019avis de\u00a0r\u00e9ception.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3c6aec69e1aebe422b05b0e98881ab47\">Par exception, Eyesoft se r\u00e9serve la facult\u00e9 de r\u00e9silier de plein droit les CGV sans notification\u00a0pr\u00e9alable ni indemnit\u00e9 dans le cas o\u00f9 le Client ou un de ses Patients porte atteinte de quelque\nmani\u00e8re que ce soit \u00e0 l\u2019int\u00e9grit\u00e9 du Casque, du Logiciel ou de la Plateforme, ainsi qu\u2019aux droits de\u00a0propri\u00e9t\u00e9 intellectuelle d\u2019Oculera.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-35f776c69240c72cb893045d5c7c4829\">En cas de r\u00e9siliation de l\u2019Abonnement pour manquement du Client, l\u2019ensemble des sommes\u00a0pay\u00e9es restent acquises \u00e0 Eyesoft, qui facturera l\u2019ensemble des redevances restant dues jusqu\u2019\u00e0\u00a0la fin de l\u2019Abonnement, imm\u00e9diatement exigibles \u00e0 la date de r\u00e9siliation effective.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ebb41eb9a65946ef10487a6d71472cc1\">En cas de r\u00e9siliation, le Client s\u2019engage \u00e0 respecter les cons\u00e9quences de la fin des CGV telles que\u00a0mentionn\u00e9es \u00e0 l\u2019article \u00ab Cons\u00e9quences de la fin de la Location \u00bb.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>12.2. R\u00e9siliation anticip\u00e9e par le Client<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4aa7b26365776987abcd4c42881848bf\">Le Client dispose de la possibilit\u00e9 de r\u00e9silier le contrat pour convenance apr\u00e8s une p\u00e9riode de douze (12) mois \u00e0 compter de la date du d\u00e9but de la Location, moyennant le paiement de frais de r\u00e9siliation. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1394511d99c92b68aa18649c18b0d6ef\">Le Client notifiera la r\u00e9siliation \u00e0 EYESOFT par e-mail\u00a0: service@eyesoft.fr. La r\u00e9siliation sera effective apr\u00e8s l\u2019expiration d\u2019un d\u00e9lai de pr\u00e9avis d\u2019un (1) mois \u00e0 compter de la r\u00e9ception de la notification.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-e382c3daaf8f540f7caaeca335ed0b5a\">En cas de r\u00e9siliation anticip\u00e9e, le Client devra verser \u00e0 EYESOFT une indemnit\u00e9 correspondant \u00e0 dix pour cent (10%) du montant total des loyers restant d\u00fb jusqu&#8217;au terme du contrat. Cette indemnit\u00e9 sera pay\u00e9e dans un d\u00e9lai de trente (30) jours date de facturation.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8f8bd53e0c6fba3624bdaa5a3979daec\">Le Client reconna\u00eet que cette indemnit\u00e9 forfaitaire repr\u00e9sente un d\u00e9dommagement raisonnable des pr\u00e9judices subis par EYESOFT en raison de cette r\u00e9siliation anticip\u00e9e apr\u00e8s la p\u00e9riode de douze (12) mois.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-8ab1d347e33acce83f495171d8d8f8e0\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>13. Modalit\u00e9s de fin de la Location<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>13.1 Cons\u00e9quence de la fin de la Location<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ba1df72189acb16c3ffa8095e6919a9a\">Au terme de la Location, et ce quelle qu\u2019en soit la cause, le Client s\u2019engage \u00e0\u00a0:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 R\u00e9gler toutes les sommes dues \u00e0 Eyesoft ou \u00e0 l\u00a0\u2018organisme de leasing partenaire\u00a0en\ncontrepartie de la fourniture des Services, toute cr\u00e9ance devenant imm\u00e9diatement exigible\u00a0;  <\/li>\n\n\n\n<li>\u2713 Cesser toute utilisation du Casque et du Logiciel,  <\/li>\n\n\n\n<li>\u2713 R\u00e9gler le cas \u00e9ch\u00e9ant les frais de r\u00e9siliation anticip\u00e9e qui sont imm\u00e9diatement exigible\u00a0;  <\/li>\n\n\n\n<li>\u2713 Restituer le Casque dans les conditions d\u00e9finies ci-apr\u00e8s\u00a0;  <\/li>\n\n\n\n<li>\u2713 Cesser toute utilisation de la Plateforme. En cons\u00e9quence, il appartient au Client de\u00a0sauvegarder les donn\u00e9es stock\u00e9es sur la Plateforme pr\u00e9alablement \u00e0 la cessation de\u00a0l\u2019Abonnement. Toutefois, le Client\u00a0pourra contacter Eyesoft afin d\u2019exporter et transmettre\u00a0les donn\u00e9es stock\u00e9es sur la Plateforme au plus tard avant la fin de la cessation de\u00a0l\u2019Abonnement.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>13.2 Restitution du Casque et des Accessoires<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b7ddaef19e85e829738dda48f5e926f8\">La restitution du Casque et des Accessoires aupr\u00e8s d\u2019EYESOFT est \u00e0 la charge du Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6331a8a9e13afd9a6827a4a3864e4648\">Il est recommand\u00e9 de conserver l\u2019emballage d\u2019origine du Casque afin de garantir la meilleure protection de celui\u2013ci pour l\u2019envoi de restitution.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d68bef547d805de21b96527fc6edb519\">En cas de restitution d\u2019un Casque non fonctionnel ou d\u00e9t\u00e9rior\u00e9, EYESOFT se r\u00e9serve le droit de facturer au Client le prix des r\u00e9parations correspondantes et le prix correspondant aux Accessoires non restitu\u00e9s. EYESOFT fera parvenir au Client une facture d\u00e9taillant les r\u00e9parations r\u00e9alis\u00e9es ainsi que leur co\u00fbt et pr\u00e9l\u00e8vera en cons\u00e9quence tout ou partie du montant de la garantie.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3dfe4558713525653fc16786b64d5ee7\">En cas de non-restitution du Casque par le Client dans un d\u00e9lai de trente (30) jours \u00e0 compter de la fin de la Location ou de quinze (15) jours \u00e0 compter de la fin de la p\u00e9riode d\u2019essai non suivie d\u2019une Location, EYESOFT pr\u00e9l\u00e8vera sur la garantie une somme de neuf cents (900) euros TTC au Client.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-3d4139aadc9e3a2e46db330e6b04f660\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>14. Prix<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-2fb7d7a88bf56724f56bfa5a02d9cfa9\">Le Prix pay\u00e9 par le Client \u00e0 Eyesoft, ou \u00e0 l\u2019un de ses\u00a0organismes financiers partenaires en\u00a0contrepartie de la fourniture des Services correspond aux tarifs en vigueur au moment de la\u00a0Commande.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-cab6f0528b0c1530c9cc99d96ba53af8\">Le Prix est ferme et d\u00e9finitif.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-fd2a2a7ba81c62553745534321a9daed\">Le Client reconna\u00eet que les Accessoires sont pay\u00e9s s\u00e9par\u00e9ment.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1c8ae8695cafbf8283b087ff7e1ef91a\">Le Prix ne comprend pas les co\u00fbts li\u00e9s \u00e0 l\u2019\u00e9quipement (ordinateur ou tablette pour acc\u00e9der \u00e0 la\u00a0Plateforme) et aux communications \u00e9lectroniques (internet, wifi), n\u00e9cessaires \u00e0 l\u2019utilisation des Services, lesdits co\u00fbts \u00e9tant \u00e0 la charge du Client.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>14.2. Modalit\u00e9s de paiement<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">14.2.1. Modalit\u00e9s de paiement<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6ac7e42b55b12a2e99fdb6d192337b49\">La Location est factur\u00e9e mensuellement par EYESOFT ou l\u2019un\u00a0des organismes financiers partenaires\u00a0d\u2019EYESOFT \u00e0 compter de la date de signature <strong>(i)<\/strong> du bon de Commande avec EYESOFT ou <strong>(ii)<\/strong> du contrat avec le partenaire financier d\u2019EYESOFT.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4cec0218b47e9aaffd1000cc05f4864c\">La dur\u00e9e de l\u2019engagement de la Location est de douze (12) ou trente-six (36) mois \u00e0 compter de la date de signature <strong>(i)<\/strong> du bon de Commande avec EYESOFT ou <strong>(ii)<\/strong> du contrat avec le partenaire financier d\u2019EYESOFT, et le paiement du prix sera effectu\u00e9 conform\u00e9ment aux modalit\u00e9s pr\u00e9cis\u00e9es\u00a0dans les contrats desdits organismes ou dans le bon de Commande.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">14.2.3. Modalit\u00e9s de paiement des Accessoires<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d0dc5241aa962de12aafb15db67543ff\">Chaque Accessoire achet\u00e9 fait l\u2019objet d\u2019une facturation unique.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-56296e667774fe5cf8c989d2541f5703\">Dans le cadre de l\u2019achat d\u2019un Accessoire, le paiement du Prix sera effectu\u00e9 par virement bancaire \/\u00a0carte bancaire \/ pr\u00e9l\u00e8vement SEPA dans un d\u00e9lai de trente (30) jours \u00e0 compter de la r\u00e9ception de\u00a0la facture.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">14.2.4. Modification des coordonn\u00e9es bancaires<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-db47600fe798c039f634c357feb2f489\">En cas de modification de ses coordonn\u00e9es bancaires, le Client s\u2019engage \u00e0 en informer Eyesoft\u00a0dans les meilleurs d\u00e9lais.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\">14.2.5. Retard de paiement\u00a0\u2013\u00a0P\u00e9nalit\u00e9s<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-e0f4545f8e17be99633a2e5fa98a1d1e\">Le d\u00e9faut de paiement \u00e0 l\u2019\u00e9ch\u00e9ance des factures entra\u00eenera de plein droit et sans qu\u2019une mise en\u00a0demeure pr\u00e9alable ne soit n\u00e9cessaire, l\u2019application d\u2019un int\u00e9r\u00eat sur les sommes \u00e9chues \u00e9gal \u00e0\u00a0trois\u00a0fois le taux d\u2019int\u00e9r\u00eat l\u00e9gal ainsi que le paiement d\u2019une p\u00e9nalit\u00e9 de 40 euros pour frais de\u00a0recouvrement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-cf62fdee295db21b62dbbfdcdbe5426c\">En cas de d\u00e9faut de paiement du Client conform\u00e9ment aux pr\u00e9sentes, Eyesoft se r\u00e9serve le droit\u00a0de suspendre les Services jusqu\u2019au complet paiement du Prix.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-8aaa2a3a33eea880b3f0efb6b0f4a0e2\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>15. Responsabilit\u00e9<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>15.1. Responsabilit\u00e9 concernant les Services<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8e754822c08a5f533f4a0c1a9a7a512b\">Eyesoft ne saurait \u00eatre tenue responsable :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 D\u2019autres faits que ceux relatifs \u00e0 la fourniture des Services ;  <\/li>\n\n\n\n<li>\u2713 D\u2019une inex\u00e9cution d\u2019une obligation \u00e0 la charge d\u2019Eyesoft au titre des pr\u00e9sentes CGV caus\u00e9e\u00a0par un manquement d\u2019un prestataire du Client, du Client ou d\u2019un Patient ;<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-158333b1ab2b7f02c7fa64cbe7ea5a45\">Le Client est inform\u00e9 et reconna\u00eet que :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Le Logiciel est un dispositif m\u00e9dical de classe II.a au sens du R\u00e8glement (UE) 2017\/745 du\u00a0Parlement europ\u00e9en et du Conseil du 5 avril 2017 relatif aux dispositifs m\u00e9dicaux,  <\/li>\n\n\n\n<li>\u2713 L\u2019utilisation du Logiciel a pour seul objet d\u2019aider le Client \u00e0 assister les Patients\u00a0dans l\u2018\u00e9valuation de leur champ visuel.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0b6e374cf335c196eef332c951b00b34\">Eyesoft indique que le contenu de la Plateforme peut faire l\u2019objet de correctifs et toute \u00e9volution\u00a0jug\u00e9e n\u00e9cessaire et qu\u2019elle est susceptible d\u2019\u00eatre modifi\u00e9e ou faire l\u2019objet de mises \u00e0 jour.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ac5fd283cbc0455f772850ae1569a038\">Eyesoft s\u2019organise pour que la Plateforme soit disponible 24 heures\/24, 7 jours\/7. Toutefois,\u00a0 l\u2019acc\u00e8s \u00e0 tout ou partie de la Plateforme peut \u00eatre interrompu, de fa\u00e7on\u00a0temporaire pour des raisons de maintenance visant le bon fonctionnement de la Plateforme, sans\u00a0pr\u00e9avis et sans que cette interruption puisse donner droit \u00e0 une quelconque indemnit\u00e9 pour le\u00a0Client.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4e5bfe58c23bc312fd04c9bb9b7bbd26\">En tout \u00e9tat de cause, Eyesoft ne saurait \u00eatre tenue responsable du non\u2013fonctionnement, d\u2019une\u00a0impossibilit\u00e9 d\u2019acc\u00e8s ou de dysfonctionnements de la Plateforme imputables \u00e0 un \u00e9quipement non\u00a0adapt\u00e9, au comportement du Client ou d\u2019un Patient, au fait impr\u00e9visible et insurmontable d\u2019un tiers ou \u00e0 un cas\u00a0de force majeure, \u00e0 des dysfonctionnements des services du fournisseur d\u2019acc\u00e8s du Client, \u00e0 ceux\u00a0du r\u00e9seau Internet. EYESOFT ne peut garantir l\u2019exhaustivit\u00e9 des Services ou\u00a0l\u2019absence de modification par un tiers (intrusion, virus).<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5a8ba78d000a31f1433b9b5aa790b39f\">Le Client d\u00e9clare accepter les caract\u00e9ristiques et les limites d\u2019Internet<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>15.2. Limitation de responsabilit\u00e9<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-07ae729e801e3b5800d1da47c0676ed0\">La responsabilit\u00e9\u00a0d\u2019Eyesoft ne pourra \u00eatre engag\u00e9e que pour les dommages directs subis par le\u00a0Client, r\u00e9sultant d\u2019un manquement \u00e0 ses obligations contractuelles telles que d\u00e9finies aux\u00a0pr\u00e9sentes.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3887cabad9e4b1ac13cc2a6f321e889b\">Le Client renonce donc \u00e0 demander r\u00e9paration \u00e0 Eyesoft \u00e0 quelque titre que ce\u00a0soit, de\u00a0:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Dommages indirects tels que le manque \u00e0 gagner, la perte de chance, le pr\u00e9judice\u00a0commercial ou financier,  <\/li>\n\n\n\n<li>\u2713 La perte ou la corruption de donn\u00e9es ou interruption ou perte d\u2019activit\u00e9,  <\/li>\n\n\n\n<li>\u2713 L\u2019augmentation de frais g\u00e9n\u00e9raux la perte de revenus, de b\u00e9n\u00e9fices, de client\u00e8le ou de\u00a0ventes ou d\u2019\u00e9conomies pr\u00e9vues trouvant leur origine ou \u00e9tant la cons\u00e9quence de\u00a0l\u2019ex\u00e9cution des\u00a0pr\u00e9sentes CGV.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-974dbf0f051ee73c555cf6e442bcce2d\">Le Client est seul responsable des dommages caus\u00e9s aux tiers, et notamment les Patients, et des\u00a0cons\u00e9quences des r\u00e9clamations ou actions qui pourraient en d\u00e9couler.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5385f9a67b4d09608722ebd972e5521b\">En tout \u00e9tat de cause, la responsabilit\u00e9 d\u2019Eyesoft ne pourra pas d\u00e9passer\u00a0le montant pay\u00e9 par le\u00a0Client \u00e0 Eyesoft pour la fourniture des Services.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-ce5d7e7949b82185b0a51ead2438317b\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>16. Confidentialit\u00e9<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6e29c87d9728bf8129e83693d7bc9270\">Chaque Partie s\u2019engage \u00e0 consid\u00e9rer comme confidentielles les informations \u00e9crites ou verbales,\u00a0de toute nature, recueillies dans le cadre de l\u2019ex\u00e9cution des pr\u00e9sentes CGV, en particulier les\u00a0donn\u00e9es techniques, juridiques, commerciales et financi\u00e8res, le savoir\u2013faire et plus g\u00e9n\u00e9ralement\u00a0les informations relatives aux activit\u00e9s des Parties.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a1669a57d93d40188de4a0e7e4a827d3\">En cons\u00e9quence, les Parties s\u2019engagent \u00e0 ne pas communiquer ni divulguer\u00a0ces informations \u00e0 qui\u00a0que ce soit, sauf aux membres de leur personnel qui devront en avoir exclusivement et\u00a0n\u00e9cessairement connaissance pour l\u2019ex\u00e9cution des pr\u00e9sentes CGV.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1c87737698cd82bf43208ddc2e49c795\">Les Parties s\u2019interdisent d\u2019utiliser lesdites informations confidentielles de l\u2019autre Partie \u00e0 d\u2019autres\u00a0fins que pour l\u2019ex\u00e9cution des pr\u00e9sentes CGV.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-21263b9b7fd675a0a5b2c855422c719d\">Chaque Partie prendra toutes dispositions pour assurer le respect de cet engagement par son\u00a0personnel et garantira l\u2019autre Partie d\u2019un tel respect.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-49868c8f6329687321a1944f528787c2\">En cons\u00e9quence, les Parties s\u2019engagent\u00a0\u00e0 ce que leurs salari\u00e9s, sous\u2013traitants, prestataires et plus\u00a0g\u00e9n\u00e9ralement toute personne qui aurait acc\u00e8s aux informations confidentielles de l\u2019autre Partie\u00a0soient tenus \u00e0 une obligation de confidentialit\u00e9 au moins \u00e9quivalente \u00e0 celle contenue dans les\u00a0pr\u00e9sentes CGV.\nL\u2019obligation de confidentialit\u00e9 ne s\u2019applique pas aux informations pour lesquelles la Partie qui les a\u00a0re\u00e7ues rapporterait la preuve que :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 L\u2019information \u00e9tait en sa possession avant qu\u2019elle la re\u00e7oive de l\u2019autre Partie,  <\/li>\n\n\n\n<li>\u2713 L\u2019information \u00e9tait dans le domaine public avant qu\u2019elle la re\u00e7oive de l\u2019autre Partie,  <\/li>\n\n\n\n<li>\u2713 L\u2019information a \u00e9t\u00e9 l\u00e9galement re\u00e7ue d\u2019un tiers qui ne la tenait pas directement ou\u00a0indirectement de l\u2019autre Partie,  <\/li>\n\n\n\n<li>\u2713 L\u2019information a \u00e9t\u00e9 d\u00e9velopp\u00e9e ind\u00e9pendamment par la Partie.<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-cfa590004c286aa416f8f6bedc5d6b55\">L\u2019obligation de confidentialit\u00e9 ne s\u2019applique pas non plus \u00e0 l\u2019\u00e9gard des autorit\u00e9s administratives,\u00a0judiciaires et fiscales, ainsi que des experts comptables, commissaires aux comptes et avocats,\u00a0ces derniers \u00e9tant tenus par le secret professionnel envers leurs clients.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0fb754140a51584d13ddc077804e169b\">L\u2019obligation de confidentialit\u00e9 subsistera pendant une dur\u00e9e d\u2019un (1) an apr\u00e8s le terme des\u00a0pr\u00e9sentes CGV.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-316c5e0b6691c0b90f1102521505c41a\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>17. Propri\u00e9t\u00e9 intellectuelle\u00a0\u2013\u00a0Garanties<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>17.1. Propri\u00e9t\u00e9 intellectuelle<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d7272efe862e9d33cc52f8b7b9666e77\">Le Client reconna\u00eet qu\u2019Eyesoft est titulaire de droits de propri\u00e9t\u00e9 intellectuelle, notamment des\u00a0droits d\u2019auteur, des marques ou des dessins et mod\u00e8les aff\u00e9rents au Site, et qu\u2019elle en demeure et demeurera\u00a0respectivement la seule propri\u00e9taire.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-106e520bdf8100d9b80898dc8ead3e2b\">Le Client reconna\u00eet que le Logiciel et la Plateforme sont la propri\u00e9t\u00e9 d\u2019Oculera.\nLe Client s\u2019interdit, en cons\u00e9quence, de porter atteinte, sous quelque forme et \u00e0 quelque titre que\u00a0ce soit et sur quelque support que ce soit, aux droits de propri\u00e9t\u00e9 intellectuelle dont Eyesoft ou Oculera est\u00a0titulaire.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-68e8537e2968d9563ba2070c97a0d015\">Ainsi et plus particuli\u00e8rement, le Client s\u2019interdit de d\u00e9poser et\/ou c\u00e9der lesdits droits de propri\u00e9t\u00e9\u00a0intellectuelle, notamment les marques, d\u2019en disposer de quelque fa\u00e7on que ce soit ou de conc\u00e9der\u00a0\u00e0 tout tiers des droits de quelque nature que ce soit la concernant.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>17.2. Garanties<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ecfabac7306df18015d2553884e2d6d1\">Eyesoft\u00a0garantit au Client qu\u2019elle est autoris\u00e9e \u00e0 conc\u00e9der des droits sur le Logiciel ou la Plateforme.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4d49993be0bf9f9b19cb46a623faf5c1\">Eyesoft garantit au Client une jouissance libre et paisible des droits\u00a0conc\u00e9d\u00e9s.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-2e7fdc67fc9b4aa411544e7e4fdbde8b\">Eyesoft garantit le Client contre tout trouble, toute action en revendication intent\u00e9e par des tiers qui\u00a0soutiendraient que le Logiciel ou la Plateforme viole ses droits de propri\u00e9t\u00e9 intellectuelle.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-59f0c806642962c5fe15fb865558092c\">Eyesoft d\u00e9clare qu\u2019il n\u2019existe, \u00e0 sa connaissance, aucune action en justice, en demande ou en\u00a0d\u00e9fense, relative au Logiciel ou \u00e0 la Plateforme.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a50e0c40b0f8b3733c760b9fdfff85b7\">Nonobstant les autres droits d\u2019EYESOFT, en cas de condamnation d\u00e9finitive ou de transaction\u00a0cons\u00e9cutive \u00e0 une contestation, interdisant toute exploitation de tout ou partie du Logiciel ou de la Plateforme, Eyesoft s\u2019efforcera, \u00e0 ses frais d\u2019obtenir le droit d\u2019exploitation, pour le Client ou de\u00a0proc\u00e9der \u00e0 toute modification du Logiciel ou de la Plateforme aux fins de les rendre non\u00a0contestables.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d4db4eb6f59417896775f0cd2c25c8ef\">Si aucune de ces mesures\u00a0n\u2019est r\u00e9alisable, il est express\u00e9ment convenu que le Client pourra\u00a0r\u00e9silier les CGV.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-518c4446021674c9eae7719c256f00b1\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>18. Donn\u00e9es personnelles<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>18.1. Obligations d\u2019Eyesoft en tant que responsable de traitement<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-fc7bfcfe7ce01d80e9a41611af0ab78f\">Dans le cadre de la fourniture des Services, Eyesoft, responsable du traitement, met en \u0153uvre un traitement de Donn\u00e9es concernant le Client aux fins de gestion, de suivi, de facturation de l\u2019Abonnement et des Services de mani\u00e8re g\u00e9n\u00e9rale.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-89425c9b309a35eac6746854ea7bc315\">Donn\u00e9es concern\u00e9es :   <\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Coordonn\u00e9es du Client : nom, pr\u00e9nom, adresse e\u2013mail, adresse postale, num\u00e9ro de t\u00e9l\u00e9phone, carte d\u2019identit\u00e9  <\/li>\n\n\n\n<li>\u2713 Informations professionnelles : SIRET\/SIREN  <\/li>\n\n\n\n<li>\u2713 Coordonn\u00e9es bancaires : Carte bancaire ou RIB\u00a0;  <\/li>\n\n\n\n<li>\u2713 Autre\u00a0: attestation responsabilit\u00e9 civile professionnelle.  <\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-59df5d42a648a7ce06d5b9a049aee1c6\">Ces Donn\u00e9es sont conserv\u00e9es sur des serveurs dans l\u2019Union Europ\u00e9enne.\nCes Donn\u00e9es seront conserv\u00e9es pendant le temps n\u00e9cessaire \u00e0 l\u2019accomplissement de l\u2019objectif poursuivi lors de leur collecte.\nConform\u00e9ment \u00e0 la Loi Informatique et Libert\u00e9s et au RGPD, le Client dispose d&#8217;un droit d&#8217;acc\u00e8s, de limitation, de rectification, de portabilit\u00e9, d\u2019opposition et de suppression des Donn\u00e9es le concernant. Le Client dispose enfin du droit de d\u00e9finir des directives d\u00e9finissant la mani\u00e8re dont il entend que soient exerc\u00e9s, apr\u00e8s ses d\u00e9c\u00e8s, ces droits.\nLe Client peut exercer ces droits en adressant un courrier \u00e0 Eyesoft 12 rue Dumonteil 33000 Bordeaux ou un email \u00e0 contact@eyesoft.fr et en joignant une copie recto-verso de sa pi\u00e8ce d\u2019identit\u00e9, ou tout autre moyen permettant de justifier de son identit\u00e9.\nLe Client dispose du droit d\u2019introduire une r\u00e9clamation aupr\u00e8s de la Commission Nationale de l\u2019Informatique et des Libert\u00e9s (www.cnil.fr). <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\"><strong>18.2. Obligations d\u2019Oculera en tant que sous\u2013traitant<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a9a5e6ddec019448eb8dcfa7e219eef0\">Dans le cadre de la fourniture des Services, Oculera est amen\u00e9e \u00e0 agir en tant que sous\u2013traitant des donn\u00e9es personnelles du\u00a0Client au sens de la Loi Informatique et Libert\u00e9s et du RGPD.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-74008b8c6fea0ca8bf1515ae38b00a07\">Le Client reconna\u00eet \u00eatre responsable de traitement de Donn\u00e9es au sens de la Loi Informatique\u00a0et\u00a0Libert\u00e9s et du RGPD. En cons\u00e9quence, le Client s\u2019engage \u00e0 se conformer \u00e0 la r\u00e9glementation en\u00a0vigueur applicable en mati\u00e8re de protection des Donn\u00e9es.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-efd88c61c105351da5bd4530e95a6688\">Oculera proc\u00e8dera au traitement des Donn\u00e9es au nom et pour le compte du Client. \u00c0 ce titre,\nOculera s\u2019engage \u00e0 respecter les obligations pr\u00e9vues au contrat de sous-traitance de donn\u00e9es annex\u00e9 aux pr\u00e9sentes (Annexe 1). \u00a0\u00a0\u00a0\u00a0<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-6d8721ef652a51c4b653d74ef685e59f\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>19. Force majeure<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ea23db4fd0eb4855ec6220706d2a4eba\">La responsabilit\u00e9 des Parties ne saurait \u00eatre recherch\u00e9e si elles sont retard\u00e9es ou emp\u00each\u00e9es\u00a0d\u2019ex\u00e9cuter une obligation r\u00e9sultant des pr\u00e9sentes CGV en raison\u00a0d\u2019un cas de force majeure.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6575a1517bc70b45508e3dbdb43287ba\">Sont consid\u00e9r\u00e9s comme des cas de force majeure, outre ceux habituellement retenus par la\u00a0jurisprudence des cours et tribunaux fran\u00e7ais : les guerres, troubles sociaux (gr\u00e8ves ou situations\u00a0de lock\u2013out), attentats, intemp\u00e9ries,\u00a0\u00e9pid\u00e9mies, tremblement de terre, inondations, d\u00e9g\u00e2ts des\u00a0eaux, incendies, blocage des moyens de communication, de transport ou d\u2019approvisionnement,\u00a0etc\u2026<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-229b7938a0289f4d295c4c47de35ad14\">D\u00e8s la d\u00e9couverte du cas de force majeure, la Partie qui souhaite s\u2019en pr\u00e9valoir notifiera celui\u2013ci \u00e0\u00a0l\u2019autre Partie par lettre recommand\u00e9e avec demande d\u2019avis de r\u00e9ception.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f950c8d87fb9e00386241c84fff4bba8\">Les pr\u00e9sentes CGV seront alors suspendues pendant toute la dur\u00e9e de cet \u00e9v\u00e8nement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f99990fe6f117d44769b524500400726\">Si la dur\u00e9e de la suspension est sup\u00e9rieure \u00e0 un (1) mois, les pr\u00e9sentes CGV pourront \u00eatre\u00a0r\u00e9sili\u00e9es de plein droit par l\u2019une des Parties apr\u00e8s notification par lettre recommand\u00e9e avec\u00a0demande d\u2019avis de r\u00e9ception, et sans indemnit\u00e9 de part et d\u2019autre.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-6697d879dcb87ed20c127947bde5a1a5\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>20. R\u00e9f\u00e9rence commerciale<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-54f0669611ce38c126a3d3951d5b35bd\">Sauf mention contraire expresse du Client, le Client autorise express\u00e9ment Eyesoft \u00e0 citer le nom\u00a0du Client \u00e0 titre de r\u00e9f\u00e9rence commerciale et notamment sur le Site.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-3ff20d5b8a6a60bc9afbd6da6c6acff9\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>21. Intuitu personae<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8ecca3835e50ebdd1a3c91c5c27df4fd\">Les CGV \u00e9tant conclues intuitu personae, le Client ne peut c\u00e9der, transf\u00e9rer ou sous\u2013traiter tout ou\u00a0partie de ses droits et obligations au titre des pr\u00e9sentes CGV, sans l\u2019accord pr\u00e9alable et \u00e9crit\nd\u2019Eyesoft.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-fac970f7887f22b94ec05cada1530460\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>22. Signature \u00e9lectronique<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8fb38d5bd4cfafaa8dd92697a6d6c050\">Les Parties conviennent express\u00e9ment que les pr\u00e9sentes CGV sont sign\u00e9es par des moyens \u00e9lectroniques et constituent l&#8217;original des CGV, lequel pr\u00e9vaut entre les Parties. Les Parties conviennent express\u00e9ment que, conform\u00e9ment \u00e0 l\u2019article 1366 du Code civil, l&#8217;accord sign\u00e9 \u00e9lectroniquement constitue une preuve ayant la m\u00eame valeur probante qu&#8217;un accord au format papier comportant une signature manuscrite et lui conf\u00e8rent date certaine.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d3d9554b9d4a9c5050e48d5f6bb045b1\">En cons\u00e9quence, les Parties reconnaissent que les CGV sont valablement ex\u00e9cutoires, et les Parties s&#8217;engagent par la pr\u00e9sente \u00e0 ne pas contester la recevabilit\u00e9, la validit\u00e9, la force ex\u00e9cutoire ou la valeur probante de la version \u00e9lectronique du pr\u00e9sent document. Ces stipulations s&#8217;appliquent \u00e0 toute modification future des CGV que les Parties pourraient \u00eatre amen\u00e9es \u00e0 signer. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-46a7f31538d6d0575c428725ba3cd8c9\">La solution de signature \u00e9lectronique est fournie par le prestataire de services [OneFlow] fournissant, conform\u00e9ment \u00e0 l\u2019article 1367 du Code civil, un proc\u00e9d\u00e9 fiable d\u2019identification garantissant le lien de la signature avec l\u2019acte auquel elle s\u2019attache.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-a23140b125bc7128baf901af4f3c1345\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>23. Loi applicable et litige<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0dfda1536e75cc0d974d15ff482a3381\">Les CGV sont conclues en langue fran\u00e7aise et soumises \u00e0 la loi fran\u00e7aise.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-187e571f181b8a036a089e1c1ae36c50\">En cas de litige entre Eyesoft et le Client d\u00e9coulant de la formation, l\u2019interpr\u00e9tation, l\u2019ex\u00e9cution\u00a0et\/ou la fin du contrat, et apr\u00e8s une tentative de recherche d\u2019une solution amiable, comp\u00e9tence\u00a0expresse est attribu\u00e9e au tribunal comp\u00e9tent de Bordeaux, nonobstant pluralit\u00e9 de d\u00e9fendeurs ou\u00a0appel en garantie, m\u00eame pour les proc\u00e9dures d\u2019urgence ou les proc\u00e9dures conservatoires ou en\u00a0r\u00e9f\u00e9r\u00e9 ou par requ\u00eate.  <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-xl-text-font-size wp-elements-8dae0cd8c52dea17823b680a333a778f\" style=\"font-style:normal;font-weight:900\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-xl-text-font-size\" id=\"cgv-oculera\" style=\"font-style:normal;font-weight:700\"><strong>Stipulations Sp\u00e9cifiques Eyesoft-Oculera<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5b5f3e74d981f6e16c2520478ffd38a4\">Dans le cadre des pr\u00e9sentes, Eyesoft fournit au Client les Services suivants :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 La mise \u00e0 disposition du Logiciel embarqu\u00e9 dans le Casque pendant toute la dur\u00e9e de l\u2019Abonnement ;  <\/li>\n\n\n\n<li>\u2713 La mise \u00e0 disposition de la Plateforme pendant toute la dur\u00e9e de l\u2019Abonnement\u00a0;  <\/li>\n\n\n\n<li>\u2713 L\u2019installation du Logiciel dans le Casque ;  <\/li>\n\n\n\n<li>\u2713 L\u2019assistance technique pendant toute la dur\u00e9e de l\u2019Abonnement\u00a0;  <\/li>\n\n\n\n<li>\u2713 La mise en service et la formation \u00e0 l\u2019utilisation du Casque et du Logiciel<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7aed525cc98dd624f30fbde33b77c758\">Le Client reconna\u00eet et accepte que les Services sont fournis ensemble. Le Client ne peut limiter\u00a0l\u2019Abonnement \u00e0 l\u2019un des Services\u00a0<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-58be7db33acb2728b6e8dc59fd6cd131\">Le Casque est un casque de r\u00e9alit\u00e9 virtuelle disposant des caract\u00e9ristiques suivantes :<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Casque PICO :  <\/li>\n\n\n\n<li>\u2713 S\u00e9rie Neo 3 Pro Eye ;  <\/li>\n\n\n\n<li>\u2713 Mod\u00e8le A7H10<\/li>\n<\/ul>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5eb7a9ebe94f9dc667b8e229ae5db18c\">Le Casque est associ\u00e9 \u00e0 deux manettes de contr\u00f4le : Mod\u00e8le C1710.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-6ff89c724a10f99098902347eb334194\">Eyesoft se r\u00e9serve le droit de faire \u00e9voluer les caract\u00e9ristiques du Casque de r\u00e9alit\u00e9 virtuelle afin\u00a0d\u2019am\u00e9liorer la qualit\u00e9 du Service ou de son dispositif.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-844b7b794ecef32d89372b529cc68429\">Conform\u00e9ment aux conditions d\u2019utilisation du Casque, ce dernier dispose d\u2019un \u00ab mode de\u00a0protection des yeux \u00bb, certifi\u00e9 par TUV Rheinland (Allemagne), qui peut prot\u00e9ger les yeux en\u00a0r\u00e9duisant la lumi\u00e8re bleue dans les trois canaux de couleur \u00e0 l\u2019aide d\u2019algorithmes logiciels. L\u2019\u00e9cran\u00a0du Casque appara\u00eet jaun\u00e2tre dans ce mode et les Patients peuvent activer\/d\u00e9sactiver cette\u00a0fonctionnalit\u00e9 dans \u00ab Param\u00e8tres \u00bb &gt; \u00ab Luminosit\u00e9 \u00bb &gt; \u00ab Mode Protection des yeux \u00bb.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-c069a5f71c51eea8b198a64e6bf16ddd\">Le Client s\u2019engage \u00e0 respecter les conditions d\u2019utilisation pr\u00e9vues par Eyesoft. Tout m\u00e9susage\u00a0pourrait entra\u00eener l\u2019annulation de la garantie.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-xl-text-font-size wp-elements-fbe7d963b56aebe0aeac752a4f2e5271\" style=\"font-style:normal;font-weight:900\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-xl-text-font-size\" style=\"font-style:normal;font-weight:700\"><strong>Annexe 1 \u2013 Contrat de sous-traitance de donn\u00e9es entre Oculera et le Client (DPA)<\/strong><\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-xl-text-font-size wp-elements-5f1d8e40ad48c01dd860a1eea0952b2f\" style=\"font-style:normal;font-weight:900\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-xl-text-font-size\" style=\"font-style:normal;font-weight:700\"><strong>DATA PROCESSING AGREEMENT<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ee984ff18400d31dcacc8f4989dc572d\">This Data Processing Agreement, including its Schedules, (\u201cDPA\u201d) forms part of the existing agreement(s) between the healthcare and\/or social care organization that uses Oculera\u2019s Software Products (\u201cCustomer\u201d) and Oculera, a joint stock company incorporated and registered under the laws of the Republic of T\u00fcrkiye with a company registration number 454615 before Ankara Trade Registry Directorate whose registered office is at Ostim OSB Mah. 100. Y\u0131l Bul. No: 55e \u0130\u00e7 Kap\u0131 No: 14 Yenimahalle\/Ankara, or Oculera\u2019s authorized distributors, covering Customer\u2019s use of Oculera\u2019s Software Products (the <strong>\u201cAgreement\u201d<\/strong>) to reflect the parties\u2019 agreement regarding the Processing of Customer Personal Data. Oculera and Customer are individually a <strong>\u201cParty\u201d<\/strong> and, collectively, the <strong>\u201cParties<\/strong>.\u201d The Parties acknowledge that Oculera\u2019s Software Products may have been purchased through the channels of Oculera\u2019s authorized distributors in the EU, and therefore, the Agreement itself may have been signed by and between Oculera\u2019s authorized distributors and Customer. In this case, the Parties still accept that this DPA forms part of the Agreement and will be applied for the provision of the Services. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8d8a6462fc14aa09cbbd71beb335c552\">In the framework of the performance of the Agreement, Oculera may Process Personal Data on behalf of Customer. This DPA regulates the provision and use of Personal Data and ensures both Oculera and the Customer meet their obligations under the Data Protection Law. Therefore, the Parties agree to comply with the following provisions with respect to any Personal Data, each acting reasonably and in good faith.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-xl-text-font-size wp-elements-b6b8982dd7239a9cadbc0501b4a05227\" style=\"font-style:normal;font-weight:900\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-xl-text-font-size\" style=\"font-style:normal;font-weight:700\"><strong>How to Execute this DPA:<\/strong><\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>This DPA consists of two parts: the main body of the DPA, and Schedules 1, 2 and 3.<\/li>\n\n\n\n<li>This DPA has been pre-signed on behalf of Oculera. Please note that the contracting entity\nunder the Agreement may be a different entity to Oculera.<\/li>\n\n\n\n<li>To complete this DPA, Customer must:\n\n<ol class=\"wp-block-list\">\n<li>Complete the information in the signature box and sign (with wet signature or e-signature) on page ten (10).<\/li>\n\n\n\n<li>Send the signed DPA to Oculera by e-mail to <a href=\"mailto:privacy@oculera.health\">privacy@oculera.health<\/a> indicating, if applicable, the Customer\u2019s Account Number (as set out on the applicable Oculera Order Form or invoice).<\/li>\n<\/ol>\n<\/li>\n<\/ol>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-698ab6ea269396c5cb7e6340d4f6041c\">Except as otherwise expressly provided in the Agreement, this DPA will become legally binding upon receipt by Oculera of the validly completed DPA at this email address.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a2799cd767e718895d6b3ffbf787ae58\">For the avoidance of doubt, signature of the DPA on page ten (10) shall be deemed to constitute signature and acceptance of the Standard Contractual Clauses. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-0f4384cd4ff24981b1e2d7938731ade1\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>1. Definitions<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-31bd9e6aa8924108af0706b0d5bfeb1d\">The following terms have the meanings set forth below. All capitalized terms not defined in this DPA will have the meanings set forth in the Agreement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-fa6ae4fe187d8febb22270d31d1d621b\"><strong>\u201cAccount Data\u201d<\/strong> means Personal Data relating to Customer\u2019s relationship with Oculera, including: <strong>(i)<\/strong> Users\u2019 (patients\u2019) account information (e.g. name, email address, or Oculera\u2019s account ID (\u2022); <strong>(ii)<\/strong> billing and contact information of individual(s) associated with Customer\u2019s Oculera account (e.g. billing address, email address, or name); <strong>(iii)<\/strong> Users\u2019 device and connection information (e.g. IP address); and <strong>(iv)<\/strong> content\/description of technical support requests (excluding attachments) alongside with the Support Entitlement Number (SEN). <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-db4d9b2a5d7f4844e29e88641c4fee35\"><strong>\u201cAffiliate\u201d<\/strong> means any entity that directly or indirectly controls, is controlled by, or is under common control with the subject entity. \u201cControl,\u201d for purposes of this definition, means direct or indirect ownership or control of more than 50% of the voting interests of the subject entity.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3bfb52b29a39bfc1079ce88d8c6f9e83\"><strong>\u201cAuthorized Affiliate\u201d<\/strong>\u00a0means any of Customer\u2019s Affiliate(s) which <strong>(i)<\/strong> is subject to the data protection laws and regulations of the European Union, the European Economic Area and\/or their member states, Switzerland and\/or the United Kingdom, and <strong>(ii)<\/strong> is permitted to use the Services pursuant to the Agreement but has not signed its own Order Form and is not a \u201cCustomer\u201d as defined under the Agreement;<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-30d39475ad192dfe5ce6c787d07a305f\"><strong>\u201cController\u201d<\/strong> means the entity which determines the purposes and means of the Processing of Personal Data.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7ed69869f151459b6d435763da91806d\"><strong>\u201cCustomer\u201d<\/strong> means the entity that executed the Agreement together with its Affiliates (for so long as they remain Affiliates) which have signed Order Forms. For the purposes of this DPA only, and except where indicated otherwise, the term \u201cCustomer\u201d shall include Customer and its Authorized Affiliates.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3d24bc982a5d7baa083c9cb8a43ef3a1\"><strong>\u201cCustomer Personal Data\u201d<\/strong> means Personal Data contained in Customer Data and\/or Customer materials that Oculera Processes under the Agreement solely on behalf of Customer. For clarity, Customer Personal Data includes any Personal Data included in the attachments provided by Customer or its Users (patients) in any technical support requests. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3254551f3b1b4f898e046e88ce171fae\"><strong>\u201cData Protection Laws\u201d<\/strong>\u00a0means all laws and regulations, including European Data Protection Laws, applicable to a Party in its use or provision of the Services, in connection with the Processing of Personal Data under the Agreement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-61ccf495af616d82c527dd46c1c96195\"><strong>\u201cData Subject\u201d<\/strong> means the identified or identifiable natural person to whom Personal Data relates.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0cfc6df1b7636a4ca5b53a1aac63a9a3\"><strong>&#8220;European Data Protection Laws&#8221;<\/strong> means data protection laws applicable in Europe, including: <strong>(i)<\/strong> the Regulation (EU) 2016\/679 of the European Parliament and of the Council of 27 April 2016 on the protection of natural persons with regard to the processing of personal data and on the free movement of such data (General Data Protection Regulation) (<strong>&#8220;GDPR&#8221;<\/strong>) and applicable national implementations of GDPR and\/or <strong>(ii)<\/strong> Law no. 78-17 of January 6, 1978 \u201cLoi Informatique et Libert\u00e9s\u201d as amended in each case, as may be amended, superseded or replaced.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7190b774782733fe3b9ea9d90180c3e1\"><strong>\u201cPersonal Data\u201d<\/strong> means information about an identified or identifiable natural person, or which otherwise constitutes \u201cpersonal data\u201d, \u201cpersonal information\u201d, \u201cpersonally identifiable information\u201d or similar terms as defined in Data Protection Laws. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-e1f774cd31c6126d5c62b32c8536ac52\"><strong>\u201cPersonal Data Breach\u201d<\/strong>\u00a0means any breach of security leading to the accidental or unlawful destruction, loss, alteration, unauthorized disclosure of, or access to Personal Data Processed by Oculera or its Sub-processors of which Oculera becomes aware.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f34dd54213a35453f0b01388b67a4c97\"><strong>\u201cProcessor\u201d<\/strong> means the entity which Processes Personal Data on behalf of the Controller.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-749614dd91d0b3178ac2f46ccc61dade\"><strong>\u201cProcessing\u201d<\/strong> (and <strong>\u201cProcess\u201d<\/strong>) means any operation or set of operations which is performed on Personal Data, whether or not by automatic means, such as collection, recording, organization, structuring, storage, adaptation or alteration, retrieval, consultation, use, disclosure by transmission, dissemination or otherwise making available, alignment or combination, restriction, erasure or destruction.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-4d3c6f8b3ae4b9fab0e483c79dcd569b\"><strong>\u201cServices\u201d<\/strong> means the provision of certain Software Products by Oculera to the Customer from time to time, including products currently offered and those offered in the future by virtue of the Agreement.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5bcab7c1942d41fbfd4a276b281d566b\"><strong>\u201cSensitive personal data\u201d<\/strong> means Personal Data revealing racial or ethnic origin, political opinions, religious or philosophical beliefs, or trade union membership, and the processing of genetic data, biometric data for the purpose of uniquely identifying a natural person, data concerning health or data concerning a natural person&#8217;s sex life or sexual orientation.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5d873b33282d3b1e6ab89c6c8b439f98\"><strong>\u201cSub-processor\u201d<\/strong> means any third party (inc. Oculera Affiliates) engaged by Oculera to Process Customer Personal Data. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-156a1856f49d68f4bd8fc8e139f1d6e0\"><strong>\u201cUsage Data\u201d<\/strong> means Personal Data relating to or obtained in connection with the use, performance, operation, support or use of the Software Products. Usage Data may include event name (i.e. what action Users performed), event timestamps, browser information, and diagnostic data. For clarity, Usage Data does not include Customer Personal Data. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-19bcd29fa8f8f87c661f43bc3fe45e1b\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>2. Scope and Term<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b45cd690ebbc69aec9973754baa8a952\"><strong>2.1.<\/strong> Roles of the Parties. <\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li><strong>Customer Personal Data.<\/strong> Oculera will Process Customer Personal Data as Customer\u2019s Processor in accordance with Customer\u2019s instructions as outlined in Section 3.4. <\/li>\n\n\n\n<li><strong>Account Data.<\/strong> Oculera will Process Account Data as a Controller for the following purposes: <strong>(i)<\/strong> to provide and improve Oculera\u2019s Software Product; <strong>(ii)<\/strong> to manage the Customer relationship (communicating with Customer and Users in accordance with their account preferences, responding to Customer inquiries and providing technical support, etc.), <strong>(iii)<\/strong> to facilitate security, fraud prevention, performance monitoring, business continuity and disaster recovery; <strong>(iv)<\/strong> to carry out regulatory requirements and <strong>(v)<\/strong> to carry out core business functions such as accounting, billing, and filing taxes.   <\/li>\n\n\n\n<li>Usage Data. Oculera will Process Usage Data as a Controller for the following purposes: <strong>(i)<\/strong> to provide, optimize, secure, and maintain Oculera\u2019s Software Products; <strong>(ii)<\/strong> to optimize user experience; and <strong>(iii)<\/strong> to inform Oculera\u2019s business strategy. <\/li>\n<\/ol>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-236984fd5c0b5183c5f331bc26cbdf22\"><strong>2.2.<\/strong> Term of the DPA. The term of this DPA coincides with the term of the Agreement and terminates upon expiration or earlier termination of the Agreement (or, if later, the date on which Oculera ceases all Processing of Customer Personal Data). <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-a12254f12bd5b01ba914a865837a0e77\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>3. Processing of Personal Data<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-8034517500afaa63df9dde3728a30cc7\"><strong>3.1.<\/strong> Customer\u2019s Processing of Personal Data. Customer shall, in its use of the Services, Process Personal Data in accordance with the requirements of the Data Protection Laws, including but not limited to any applicable requirement to provide notice to Data Subjects of the use of Services as Processor. Customer specifically acknowledges and agrees that its use of the Services will not violate the rights of any Data Subject, including those that have opted-out from sales or other disclosures of Personal Data, to the extent applicable under Data Protection Laws. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-eae00c426b5ad317263c1251697a94bb\"><strong>3.2.<\/strong> Oculera\u2019s Processing of Personal Data. Oculera shall treat Customer Personal Data as Confidential Information. Oculera shall ensure personnel authorized to Process Customer Personal Data are bound by written (or statutory) obligations of confidentiality. Oculera shall only Process Customer Personal Data on behalf of Customer and in accordance with documented instructions of Customer\u2019s for the following purposes: <strong>(i)<\/strong> to provide and improve the Software Products; <strong>(ii)<\/strong> Processing in accordance with the Agreement and applicable Order Form(s); <strong>(iii)<\/strong> Processing initiated by Users (patients) in their use of the Services; and <strong>(iv)<\/strong> Processing to comply with other documented reasonable instructions provided by Customer (e.g., via email) where such instructions are consistent with the terms of the Agreement. Oculera will Process Customer Personal Data in compliance with applicable Data Protection Laws, provided however that Oculera shall not be in violation of this contractual obligation in the event that Oculera\u2019s Processing of Customer Personal Data in non-compliance with Data Protection Laws is due to Customer.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5c94a021b7e1367e5e7dfd170a7660ec\"><strong>3.4.<\/strong> Details of the Processing. The Parties acknowledge and agree that with regard to the Processing of Customer Personal Data, Customer is the Controller, Oculera is the Processor and that Oculera or its Affiliates engaged in the Processing of Personal Data will engage Sub-processors pursuant to the requirements set forth in Schedule 2 (Sub-processors) below. The subject-matter of Processing of Customer Personal Data by Oculera is the performance of the Services pursuant to the Agreement. The nature and purpose of the Processing, the types of Personal Data and categories of Data Subjects Processed under this DPA are further specified in Schedule 1 (Details of the Processing) to this DPA.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a483659b7881ffb9f0b4a0dd8529668f\"><strong>3.5<\/strong> Customer Instructions. Oculera will Process Customer Personal Data only on documented instructions from Customer, including with regard to transfers of such Customer Personal Data to a third country or an international organisation, unless required to do so by Data Protection Laws to which Oculera is subject; in such a case, Oculera shall inform Customer of that legal requirement before Processing, unless that law prohibits such information on important grounds of public interest. For the avoidance of doubt, Customer\u2019s instructions for the Processing of Personal Data shall comply with Data Protection Laws. Oculera will promptly inform Customer if it becomes aware that Customer&#8217;s Processing instructions infringe Data Protection Laws. Customer shall have sole responsibility for the accuracy, quality, and legality of Customer Personal Data and the means by which Customer acquired the Customer Personal Data.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-73b26c1ac9b93722cf729468b72a4f54\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>4. Rights of Data Subjects<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-9f799e51def1d26a82b2c55356f5e51a\"><strong>4.1.<\/strong> Data Subject Requests. Taking into account the nature of the Processing, Oculera shall, to the extent legally permitted and to the extent Oculera has been able to identify that the request comes from a Data Subject whose Personal Data was submitted to the Services by Customer, promptly notify Customer if Oculera receives a request from Data Subject in relation to the exercise of any Data Subject\u2019s rights (including rights of access, right to rectification, erasure (including the right to be forgotten), restriction of Processing, object to the Processing, data portability or its right not to be subject to an automated individual decision      making, right to define general or specific guidelines on the retention, erasure and disclosure of their personal data after their death ; each such request being a \u201cData Subject Request\u201d). Oculera will confirm to the Data Subject that it has passed the request to the Customer, but Oculera shall not handle or execute the Data Subject Request. Each Party shall maintain a record of Data Subject Requests, the decisions made and any information that was exchanged.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-9603c94629baa79208eda9ff8d1ddc7d\"><strong>4.2<\/strong> Taking into account the nature of the Processing, Oculera shall assist Customer by providing appropriate and necessary technical and organizational measures, insofar as this is possible, for the fulfilment of Customer\u2019s obligation to respond to a Data Subject Request under Data Protection Laws. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-444af5518f98cb9f6bdfc7c7e3466809\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>5. Oculera Personnel<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-887c466774ac480465b18f45f6a1e324\"><strong>5.1.<\/strong> Confidentiality, Reliability and Limitation of Access. Oculera shall ensure that its personnel engaged in the Processing of Customer Personal Data are informed of the confidential nature of the Personal Data, have received appropriate training on their responsibilities and have executed written confidentiality agreements. Oculera shall ensure that such confidentiality obligations survive the termination of the personnel engagement. Oculera take commercially reasonable steps to ensure the reliability of any Oculera personnel engaged in the Processing of Customer Personal Data. Oculera shall ensure that Oculera\u2019s access to Customer Personal Data is limited to those personnel performing Services in accordance with the Agreement, any applicable Order Form(s) and Documentation.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-f4160b7499a01c12bdda08a702f51cda\"><strong>5.2.<\/strong> Data Protection Officer. Oculera has appointed a data protection officer for Oculera and its Affiliates. The appointed person can be reached at <a href=\"mailto:privacy@oculera.health\">privacy@oculera.health<\/a>.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-a2bc5dbf1f5b791b1b4249e075e09546\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>6. Sub-Processors<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-86bf257b569b21b79476b648b024fa84\"><strong>6.1.<\/strong> Appointment of Sub-processors.\u00a0Customer acknowledges and agrees that Oculera may engage third-party Sub-processors in connection with the provision of the Services and by entering into this DPA, Customer provides general authorization for Oculera to engage Sub-processors to Process Customer Personal Data. Oculera shall <strong>(i)<\/strong> enter into a written agreement with each Sub-processor containing data protection obligations not less protective than those in this DPA with respect to the protection of Customer Personal Data to the extent applicable to the nature of the product or\/and services provided by such Sub-processor <strong>(ii)<\/strong> remain liable to Customer if such Sub-processor fails to fulfill its data protection obligations with regard to the relevant Processing activities under the Agreement. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-dfcb970912be82cb11f3afa3486333d1\"><strong>6.2.<\/strong> List of Current Sub-processors and Notification of New Sub-processors.\u00a0Attached hereto as Schedule 2 is a current list of Sub-processors for the Services. Such Sub-processors list shall include the identities of those Sub-processors, their country of location as well as the type of Processing they perform. Customer hereby consents to these Sub-processors, their locations and processing activities as it pertains to their Personal Data. Oculera will notify Customer of a new Sub-processor(s) (which may be via email, a posting, or notification on an online portal for Oculera\u2019s services or other reasonable and lawful means), at least thirty (30) days\u00a0before authorizing any new Sub-processor(s) to Process Personal Data in connection with the provision of the applicable Services.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7a7b4bf05a99eac4bbafa1c7fc754565\"><strong>6.3.<\/strong> Objection Right for New Sub-processors.\u00a0Customer may object to Oculera\u2019s use of a new Sub-processor by notifying Oculera promptly in writing by contacting <a href=\"mailto:privacy@oculera.health\">privacy@oculera.health<\/a>     within five (5) business days after receipt of Oculera\u2019s notice. In the event that Customer objects to a new Sub-processor on reasonable grounds relating to the protection of Personal Data, as permitted in the preceding sentence, Oculera will use reasonable efforts to make available to Customer a change in the Services or recommend a commercially reasonable change to Customer\u2019s configuration or use of the Services to avoid Processing of Personal Data by the objected-to new Sub-processor without unreasonably burdening Customer. If Oculera is unable to make available such change within a reasonable period of time, which shall not exceed sixty (60) days, Customer may terminate the applicable Order Form(s) with respect only to those Services which cannot be provided by Oculera without the use of the objected-to new Sub-processor, by providing written notice to Oculera. Oculera will refund to Customer any prepaid fees covering the remainder of the term of such Order Form(s) following the effective date of termination with respect to such terminated Services, without imposing a penalty for such termination on Customer.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-83cc1fc36270cef7cccfb65f21da5f51\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>7. Deletion and Return of Personal Data<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-38050d721a91b0b53b2e17841e3681e6\"><strong>7.1.<\/strong> During Subscription Term. During the Subscription Term, Customer and its Users (patients) may, through the features of the Software Product, access, retrieve or delete Customer Personal Data. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-2dc66c921caee80fb8d8e01c9a1ca23a\"><strong>7.2.<\/strong> Post Termination. Following expiration or termination of the Agreement, Oculera must, in accordance with the Documentation, delete all Customer Personal Data. Notwithstanding the foregoing, Oculera may retain Customer Personal Data <strong>(i)<\/strong> as required by Data Protection Laws or <strong>(ii)<\/strong> in accordance with its standard backup or record retention policies, provided that, in either case, Oculera will maintain the confidentiality of, and otherwise comply with the applicable provisions of this DPA with respect to retained Customer Personal Data and not further Process it except as required by Data Protection Laws. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-95423bf9fdc0fc14715e61f8b8a662b7\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>8. Security and Audits<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b349dab591f32948ae11286351a2a42c\"><strong>8.1.<\/strong> Controls for the Protection of Customer Data.\u00a0Oculera has implemented and will maintain appropriate technical and organizational measures designed to protect the security, confidentiality, integrity and availability of Customer Personal Data and protect against Security Incidents as set forth in the Oculera\u2019s technical and organizational security measures (\u201cSecurity Measures\u201d) attached hereto as Schedule 3. Customer is responsible for reviewing the information made available by Oculera relating to data security and making an independent determination as to whether the Services meet Customer\u2019s requirements and legal obligations under Data Protection Laws. Customer acknowledges that the Security Measures are subject to technical progress and development and that Oculera may update or modify such document from time to time provided that such updates and modifications do not result in a material decrease of the overall security of the Services during a subscription term of the Software Product.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7dda087d998c13a67a54e94edab6614c\"><strong>8.2<\/strong>. Security incidents. Oculera maintains security incident management policies and procedures specified in the Security Measures and shall notify Customer without undue delay and, where feasible, no later than forty-eight (48) hours after becoming aware of a Personal Data Breach. Oculera shall provide information to Customer necessary to enable Customer to comply with its obligations under Data Protection Laws in relation to such Personal Data Breach. The content of such communication to Customer will <strong>(i)<\/strong> include the nature of Processing and the information available to Oculera, and <strong>(ii)<\/strong> take into account that under applicable Data Protection Laws, Customer may need to notify regulators or individuals of the following: (a) a description of the nature of the Personal Data Breach including, where possible, the categories and approximate number of individuals concerned and the categories and approximate number of Personal Data records concerned; (b) a description of the likely consequences of the Personal Data Breach; and (c) a description of the measures taken or proposed to be taken to address the Personal Data Breach, including, where appropriate, measures to mitigate its possible adverse effects. Oculera shall make commercially reasonable efforts to identify the cause of such Personal Data Breach and take those steps as Oculera deems necessary and reasonable in order to remediate the cause of such Personal Data Breach to the extent the remediation is within Oculera\u2019s reasonable control. The obligation to remediate the cause of a Personal Data Breach shall not apply to Personal Data Breaches that are caused by Customer or Customer\u2019s Users.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a6a9e89c9c95eeca8ea3577724b26047\"><strong>8.3.<\/strong> On-site Audits. Only to the extent Customer cannot reasonably satisfy Oculera\u2019s compliance with this DPA or where required by Data Protection Laws or a regulatory authority, Customer, (or Customer\u2019s independent, third-party auditor that is not a competitor of Oculera and that is subject to confidentiality obligations substantially similar to those set forth in the Agreement) may, at Customer\u2019s expense, conduct audits (including inspections) during the term of the Agreement to assess Oculera\u2019s compliance with the terms of this DPA. Any such audit must <strong>(i)<\/strong> be limited to the facilities operated by Oculera; <strong>(ii)<\/strong> be conducted during Oculera\u2019s regular business hours, with reasonable advance written notice of at least sixty (60) calendar days (unless Data Protection Laws or a regulatory authority requires a shorter notice period); <strong>(iii)<\/strong> not exceed 1 (one) business day; <strong>(iv)<\/strong> occur no more than once every twelve (12) months; <strong>(v)<\/strong> restrict its findings to only information relevant to Customer and <strong>(vi)<\/strong> be in way that Customer shall promptly notify Oculera with information regarding any non-compliance discovered during the course of such audit.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-e51acc1191ba0c0b40ea99ea4cea9b48\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>9. Assistance and Cooperation Obligations<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-092825f557a6b8511b33891f38df8219\"><strong>9.1.<\/strong> Third Party Requests. Oculera shall maintain appropriate measures to protect Customer Personal Data in accordance with the requirements of Data Protection Laws, including by implementing appropriate technical and organizational measures to protect Customer Personal Data against any interference that goes beyond what is necessary in a democratic society to safeguard national security, defense and public security. If Oculera receives a legally binding request to access Customer Personal Data from a public authority, Oculera shall, unless otherwise legally prohibited, promptly notify Customer including a summary of the nature of the request. To the extent Oculera is prohibited by law from providing such notification, Oculera shall use commercially reasonable efforts to obtain a waiver of the prohibition to enable Oculera to communicate as much information as possible, as soon as possible. Further, Oculera shall challenge the request if, after careful assessment, it concludes that there are reasonable grounds to consider that the request is unlawful. Oculera shall pursue possibilities of appeal. When challenging a request, Oculera shall seek interim measures with a view to suspending the effects of the request until the competent judicial authority has decided on its merits. It shall not disclose the Customer Personal Data requested until required to do so under the applicable procedural rules. Oculera agrees it will provide the minimum amount of information permissible when responding to a request for disclosure, based on a reasonable interpretation of the request. Oculera shall promptly notify Customer if Oculera becomes aware of any direct access by a public authority to Customer Personal Data and provide information available to Oculera in this respect, to the extent permitted by law. For the avoidance of doubt, this DPA shall not require Oculera to pursue action or inaction that could result in civil or criminal penalty for Oculera such as contempt of court. Oculera certifies that Oculera <strong>(i)<\/strong> has not purposefully created back doors or similar programming for the purpose of allowing access to the Services and\/or Customer Personal Data by any public authority; <strong>(ii)<\/strong> has not purposefully created or changed its business processes in a manner that facilitates access to the Services and\/or Customer Personal Data by any public authority; and <strong>(iii)<\/strong> at the Effective Date is not currently aware of any national law or government policy requiring Oculera to create or maintain back doors, or to facilitate access to the Services and\/or Customer Personal Data, to keep in its possession any encryption keys or to hand-over the encryption key to any third party.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-22fbb838d5ef75a745aeeb7f9264003f\"><strong>9.2.<\/strong> Data Protection Impact Assessment.\u00a0Upon Customer\u2019s request, and taking into account the nature of the applicable Processing, Oculera shall provide Customer with reasonable cooperation and assistance needed to fulfill Customer\u2019s obligation under the GDPR to carry out a data protection impact assessment (and also consultations with regulatory authorities) related to Customer\u2019s use of the Services, to the extent Customer does not otherwise have access to the relevant information, and to the extent such information is available to Oculera. Oculera shall provide reasonable assistance to Customer in the cooperation or prior consultation with the Supervisory Authority (as defined in the GDPR) in the performance of its tasks relating to this Section 9.2 of this DPA, to the extent required under the GDPR.\u00a0<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-e049ea4d174609196990b51a284d63a5\"><strong>9.3.<\/strong> Infringing Instructions. Oculera shall immediately inform the Customer if, in its opinion, an instruction infringes GDPR. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-7707352948566eb1fcdde7ae66a87577\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>10. Data Transfer Mechanisms<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-ddf831cccff13eda9d9f4e23dc2228ec\"><strong>10.1.<\/strong> Data Transfers. As of the Effective Date of this DPA, with regard to any transfers of Personal Data under this DPA from the European Union,      the European Economic Area and\/or their member states      to countries which do not ensure an adequate level of data protection within the meaning of Data Protection Laws of the foregoing territories, to the extent such transfers are subject to such Data Protection Laws, Oculera makes available the following transfer mechanism(s) which shall apply, in the order of precedence as set out below, if applicable:<\/p>\n\n\n\n<ol class=\"wp-block-list\">\n<li>Any valid transfer mechanism pursuant to Chapter V \u201cTransfers of personal data to third countries or international organizations\u201d of the GDPR permitting transfer of EU Personal Data outside the EU to which Oculera would subscribe, certify or participate in.<\/li>\n\n\n\n<li>The Standard Contractual Clauses (hereinafter \u201cSCC\u201d) are hereby incorporated into this DPA by reference as follows:\n\n<ol class=\"wp-block-list\">\n<li>Customer is the \u201cdata exporter\u201d and Oculera is the \u201cdata importer\u201d.<\/li>\n\n\n\n<li>Module One (Controller to Controller) applies where Oculera is Processing Account Data or Usage Data.<\/li>\n\n\n\n<li>Module Two (Controller to Processor) applies where Customer is a Controller of Customer Personal Data and Oculera is Processing Customer Personal data as a Processor.<\/li>\n\n\n\n<li>Module Three (Processor to Processor) applies where Customer is a Processor of Customer Personal Data and Oculera is Processing Customer Personal Data as another Processor.<\/li>\n\n\n\n<li>By entering into this DPA, each Party (including the Authorized Affiliates) is deemed to have signed the SCCs as of the commencement date of the Agreement.<\/li>\n<\/ol>\n<\/li>\n\n\n\n<li>For each Module, where applicable: \n\n<ol class=\"wp-block-list\">\n<li>In Clause 7, the optional docking clause does not apply.<\/li>\n\n\n\n<li>In Clause 9, Option 2 applies, and the time period for prior notice of Sub-processor changes is stated in Section 6 (Sub- processors) of this DPA.<\/li>\n\n\n\n<li>In Clause 11, the optional language does not apply.<\/li>\n\n\n\n<li>In Clause 17, Option 1 applies, and the EU SCCs are governed by the laws of France.<\/li>\n\n\n\n<li>In Clause 18(b), disputes will be resolved before the courts of Paris, France<\/li>\n\n\n\n<li>The Appendix of SCCs is populated as follows: \n\n<ul class=\"wp-block-list\">\n<li>\u2713 The information required for Annex I(A) is located in the Agreement and\/or relevant Orders. <\/li>\n\n\n\n<li>\u2713 The information required for Annex I(B) is located in Schedule 1 (Details of Processing) of this DPA. <\/li>\n\n\n\n<li>\u2713 The competent supervisory authority in Annex I(C) will be determined in accordance with the Data Protection Laws; and <\/li>\n\n\n\n<li>\u2713 The information required for Annex II is located here. <\/li>\n<\/ul>\n<\/li>\n<\/ol>\n<\/li>\n\n\n\n<li>In the event of any conflict or inconsistency between this DPA and the SCC, the SCC shall prevail.  <\/li>\n\n\n\n<li>Schedule2 of this DPA represents Customer\u2019s express consent regarding existing and new Sub-processors.<\/li>\n<\/ol>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-c52fabdb3f50f18245223e68ecfc0433\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>11. Miscellaneous<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-32c39329284b4274eb06a69309e055e2\"><strong>11.1.<\/strong> Amendments. Notwithstanding anything else to the contrary in the Agreement and without prejudice to the \u2018Customer Instructions\u2019 or \u2018Security\u2019 sections of this DPA, we reserve the right to make any updates and changes to this DPA.  <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-bc5954ee49c44ec944af34cd0f93c5a2\"><strong>11.2.<\/strong> Severability. If any individual provisions of this DPA are determined to be invalid or unenforceable, the validity and enforceability of the other provisions of this DPA will not be affected.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-b9689076695d85c4e0e728ab63ebaa63\"><strong>11.3.<\/strong> Limitation of Liability. Each Party\u2019s and all of its Affiliates\u2019 liability, taken together in the aggregate, arising out of or related to this DPA, and all DPAs between Authorized Affiliates and Oculera, whether in contract, tort or under any other theory of liability, is subject to the \u2018Limitation of Liability\u2019 section of the Agreement, and any reference in such section to the liability of a party means the aggregate liability of that party and all of its Affiliates under the Agreement and all DPAs together.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-24260bea165c479ad6d9202c47fafdf8\">For the avoidance of doubt, Oculera and its Affiliates\u2019 total liability for all claims from Customer and all of its Authorized Affiliates arising out of or related to the Agreement and all DPAs shall apply in the aggregate for all claims under both the Agreement and all DPAs established under the Agreement, including by Customer and all Authorized Affiliates, and, in particular, shall not be understood to apply individually and severally to Customer and\/or to any Authorized Affiliate that is a contractual party to any such DPA.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-9d9b4e0b5c371c1839b39194d0193ef6\"><strong>11.4.<\/strong> Governing Law and Dispute Resolution. The governing law for shall be the law that is designated in the Governing Law section of the Agreement. Each Party irrevocably agrees that the courts of Paris, France shall have exclusive jurisdiction to settle any dispute or claim (including non-contractual disputes or claims) arising out of or in connection with this Data Processing Agreement, or its subject matter or formation.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-a3388114b8b18ddba1d9443e9711b49c\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>12. Introduction<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-be1518a321111e2b28cec722773cebec\">The aim of this document is to provide high-level information to our Customers regarding Oculera\u2019s commitment to security and data protection. Oculera is aiming to achieve and maintain the trust of our Customers. Our goal is to be as transparent as possible with our Customers in offering security and protections to meet and exceed expectations in today\u2019s computing world. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-36b54ee5995f01c233cd24a824b18697\">Oculera\u2019s CTO is responsible for the overall security of the Services, including oversight and accountability. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-3e7e4e244c975319564af99e9516bbd6\">Infrastructure. Oculera\u2019s contracts with third-party hosting providers such as Amazon Web Services include industry-standard information protection requirements.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7c4f2ebc8f622de9767ce2339f8c9f25\">Third-Party Architecture. Oculera may use one or more third-party content delivery networks to provide the Services and to optimize content delivery via the Services. Content items to be served to Customers or users, such as images or attachments uploaded to the Services, may be cached with such content delivery networks to expedite transmission. Information transmitted across a content delivery network may be accessed by that content delivery network solely to enable these functions. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-1b397631fd49123e14bbeeba4d2b05e9\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>2. Policy and Personnel Security<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-9537e5bbcb4bb366b3713d943fe1d008\">Oculera has a documented information security policy that all employees must read and acknowledge. This policy is reviewed and updated annually. Security policy development, maintenance, and issuance is the responsibility of the Oculera\u2019s Security Team.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-e2f3746191d035ef1c249b7fb2296b32\">At Oculera, all employees sign a non-disclosure agreement at induction. Additionally, Oculera carries out background checks of its employees as part of employment process. All employees are informed of, and agree to comply with, Oculera\u2019s security policy and practices as a part of their initial onboarding. System administrators, developers and other users with privileged access receive special and ongoing training and are subjected to additional background screening.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-fb3919f8444e2aa0841bff44ac7344cb\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>3. Physical and Environmental Security<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a30464c3c15302fe534ae943a6c1791c\">Physical and environmental security: Access to Oculera facilities is controlled by 24-hour security and are under 24-hour video surveillance. Additionally, all Oculera offices are protected by locked access.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-a944e58d03edd4c84f5ed1e32fe40f3c\">Data centers and servers are managed and controlled by our cloud hosting providers. Oculera\u2019s employees has not access to any of these date centers. Oculera hosts the Oculera Services with outsourced Amazon Web Services in their Europe (Frankfurt) EU-Central-1region. Details regarding the security practices &amp; controls applicable to these facilities can be found at their websites: AWS: <a href=\"https:\/\/aws.amazon.com\/security\/\">https:\/\/aws.amazon.com\/security\/<\/a>.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-27513230129b43c5776f1c91a6f14924\">Authentication: We implement a uniform password policy for our Customer products. Customers who interact with the Software Product via the user interface must authenticate before accessing non-public customer data.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7782bcc8701b4373bc2a57ebae74e3ed\">Security Logs: All Oculera systems used in the provision of the Oculera Services, including firewalls, routers, network switches, and operating systems log information to their respective system log facility in order to enable security reviews and analysis. <\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-d729caa3bacb6b65b5a8d78206e5b4a0\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>4. Access Control<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-c10a1802fc03f09367d8a48e3ecd75c5\">Oculera maintains an inventory of essential information assets such as servers, databases, and information. All Customer Data is classified as Confidential by Oculera. Oculera has implemented and will maintain a comprehensive set of formal policies, controls, and practices for the appropriate access control and protection of Customer Data, which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Access management policy addressing access control standards, including the framework and the principles for user provisioning.  <\/li>\n\n\n\n<li>\u2713 User provisioning for the access to Oculera systems and infrastructure based on the relevant job role and on the least privilege principle that is enforced through the authentication processes.  <\/li>\n\n\n\n<li>\u2713 Strict role-based access controls for Oculera staff, allowing access to Customer Data only on a need-to-know basis.  <\/li>\n\n\n\n<li>\u2713 Use of technical controls such as virtual private network (VPN) and multi-factor authentication (MFA) where relevant based on information classification.  <\/li>\n\n\n\n<li>\u2713 Oculera\u2019s HR onboarding and off-boarding processes handle provisioning and de-provisioning of accounts and access.  <\/li>\n\n\n\n<li>\u2713 API IP Whitelisting \u2013 Defines the range of IP addresses from which a customer\u2019s users can access the Oculera API to prevent unauthorized third parties from accessing the Oculera Services.  <\/li>\n\n\n\n<li>\u2713 All requests on the Oculera Dashboard have cross-site request forgery (CSRF) protection. Policies and Logging<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-84f6e431e28efef0daa829d2bd153d03\">Oculera\u2019s Services are operated in accordance with the following procedures to enhance security:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 User passwords are never transmitted or stored in clear text.   <\/li>\n\n\n\n<li>\u2713 Oculera uses industry-standard methods to determine password validity.   <\/li>\n\n\n\n<li>\u2713 Oculera keeps audit logs for all access to production servers.   <\/li>\n\n\n\n<li>\u2713 Server access is controlled via Amazon Web Services Identity and Access Management.  <\/li>\n\n\n\n<li>\u2713 Logs are stored in a secure centralized host to prevent tampering.  <\/li>\n\n\n\n<li>\u2713 Passwords are not logged under any circumstances.   <\/li>\n\n\n\n<li>\u2713 All access to Customer dashboard accounts by Oculera employees must be done through an internal service that is accessible via a 2-factor VPN only.  <\/li>\n\n\n\n<li>\u2713 As part of Oculera\u2019s Security Policy, employees may not store any Customer Data on removable media. <\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-251d386044f1c890f76d19510fa0b04b\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>6. Intrusion Detection and Information Security Incident Management<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-0124385328167d68fcf45c0c2feae6bb\">Oculera monitors system, user, and file behavior across its infrastructure using a host-based Intrusion Detection System (IDS). Intrusion Detection alerts are monitored by the Security and Development teams 24\/7. Additionally, Oculera may analyze data collected by users\u2019 web browsers (e.g., device type, screen resolution, time zone, operating system version, browser type and version, system fonts, installed browser plug-ins, enabled MIME types, etc.) for security purposes, including to detect compromised browsers, to prevent fraudulent authentications, and to ensure that the Oculera Services function properly.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-74a48f4d59c81883e8576b33ac66abe6\">Unauthorized web requests and API calls are logged and automatically alert Oculera\u2019s engineering team. <\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-47d49de372930a3072858f1e7d223563\">Oculera maintains written and regularly audited security incident management policies and procedures, including an Incident Response Plan to be enacted in the event of an incident.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-4183cb862078d6c6c73e4146907a3050\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>7. Audit and Accountability<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-81e6fa0cce83e0c5710b6a117e1fd45e\">Oculera has implemented and will maintain a comprehensive set of formal policies, controls, and practices for proper auditing and accountability purposes, which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Comprehensive logging standards as part of Oculera\u2019s policy management framework, with annual reviews and senior management approvals.  <\/li>\n\n\n\n<li>\u2713 Secure forwarding and storage of relevant system logs to a centralized log platform of the cloud infrastructure with read-only access.   <\/li>\n\n\n\n<li>\u2713 Monitoring of security audit logs to detect unusual activity, with established processes for reviewing and addressing anomalies.  <\/li>\n\n\n\n<li>\u2713 Regular updates to the logging scope of information and system events for Software Products and related infrastructure in order to address new features and changes.  <\/li>\n\n\n\n<li>\u2713 Utilizing time sync services from relevant cloud service providers (e.g. AWS) for reliable timekeeping across all deployed instances. <\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-8aa9d8a92688a70a6442a01733dedd5d\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>8. System Patching and Configuration Management<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-d6aba68fcd47111f220032b86c69bd5b\">Oculera has implemented and will maintain a comprehensive set of formal policies, controls, and practices for appropriate configuration management, which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Change management policies covering the risk management for all internal and external asset changes, reviewed annually.  <\/li>\n\n\n\n<li>\u2713 Standard procedures for change management applicable to encryption and cryptography for the secure handling of data (e.g. encryption keys) according to its security classification.   <\/li>\n\n\n\n<li>\u2713 A centralized internal policy program categorising the global policies into different domains including annual review, and senior management approval of the program.  <\/li>\n\n\n\n<li>\u2713 Stringent policies encompassing <strong>(i)<\/strong> encryption, <strong>(ii)<\/strong> cryptography, <strong>(iii)<\/strong> endpoint management, and <strong>(iv)<\/strong> asset tracking inline with industry standards.  <\/li>\n\n\n\n<li>\u2713 Established baselines and standards for change control that require testing documentation prior to implementation and authorized approval.  <\/li>\n\n\n\n<li>\u2713 A strict post-implementation testing and approval process for emergency changes to the code.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-9403cfcf907347d7ec1103d5f9465397\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>9. Risk Assesment, Vulnerability Management and Third-Party Penetration Testing<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-fd831d19dc011eb7c535cecf45e55dbc\">Oculera has implemented and will maintain a comprehensive set of formal policies, controls, and practices for a robust Information Security Management System, which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 A comprehensive risk management program for identifying, assessing, and addressing various risks to support informed risk management decisions.  <\/li>\n\n\n\n<li>\u2713 A policy program aligning company-wide policies with ISO 27001 and other relevant standards to mitigate associated risks.  <\/li>\n\n\n\n<li>\u2713 Oculera\u2019s infrastructure and applications are continuously scanned by a Vulnerability Management System. Alerts are monitored by our Security Team and addressed at least monthly by the Oculera Security Team. Oculera also maintains a list membership to various CVE vulnerability mailing lists. Patches and \u2018critical\u2019 and \u2018high\u2019 vulnerabilities are remediated no later than 30 days following discovery. Oculera also uses static code analysis tools during the build process to perform static security analysis.  <\/li>\n\n\n\n<li>\u2713 Processes and metrics for reporting vulnerability management activities.  <\/li>\n\n\n\n<li>\u2713 Thorough security evaluations, including independent external and internal audits  <\/li>\n\n\n\n<li>\u2713 Oculera undergoes a third-party penetration test of the Oculera Services on an annual basis.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-03a05f53a9f43e639b7fe07f6123fb0f\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>10. Media Protection<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-1473d79af84e963f6785008a1004d5c5\">Oculera has implemented and will maintain a comprehensive set of formal policies, controls, and practices to ensure the protection of media (internal and external), which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 Using reliable 3rd party services (e.g. AWS) to operate the physical infrastructure for processing Customer Data as a Sub-processor.  <\/li>\n\n\n\n<li>\u2713 Sanitization and degaussing of used equipment by the 3rd party cloud service providers, including hard drives with Customer Data in line with industry standards (e.g. ISO 27001).  <\/li>\n\n\n\n<li>\u2713 Full disk encryption using industry standards (e.g. AES-256) employed for data drives on servers and databases storing Customer Data, and on endpoint devices.  <\/li>\n\n\n\n<li>\u2713 Unattended workspaces are required to have no visible confidential data, aligning with the secure workplace guidance.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-c20366f74df275d4321009e3a06c4c3d\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>11. Malware Prevention<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-bea2621fafbdb51cb7028a4653f0b4e6\">Oculera adopts the principle of least privilege for all accounts running application or database services. Personal Data Processing and Transparency<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-7795e799ce8f26fb63dc133f19e5dda6\">Oculera has implemented and will maintain a comprehensive set of formal policies, controls, and practices for the compliance of personal data processing in line with Data Protection Laws, which include:<\/p>\n\n\n\n<ul class=\"wp-block-list\">\n<li>\u2713 A global privacy compliance program for reviewing and adapting to data protection laws including necessary safeguards and processes.  <\/li>\n\n\n\n<li>\u2713 Maintaining an internal personal data processing policy with clear definitions of personal data categories, processing purposes, and processing principles.  <\/li>\n\n\n\n<li>\u2713 Detailed standards for processing of various categories of personal data covering the topics such as processing principles, applicable legal basis, retention, destruction etc.  <\/li>\n\n\n\n<li>\u2713 An established method to create pseudonymised data sets using industry standard practices and appropriate technical and organisational measures governing the systems capable of remapping pseudonymous identifiers.   <\/li>\n\n\n\n<li>\u2713 Transparent privacy policies for its users and customers, as well as internal guidelines for employees.  <\/li>\n\n\n\n<li>\u2713 Comprehensive compliance documentation, including but not limited to <strong>(i)<\/strong> processing activities, <strong>(ii)<\/strong> privacy impact assessments, <strong>(iii)<\/strong> transfer impact assessments, <strong>(iv)<\/strong> consents, and <strong>(v)<\/strong> data processing agreements with customers and vendors.  <\/li>\n\n\n\n<li>\u2713 Secure development practices across all development lifecycle stages, focusing on security and data protection from the initial design phase.  <\/li>\n\n\n\n<li>\u2713 Respecting the individual\u2019s rights to access, correct, and delete their personal data in line with relevant data protection laws.<\/li>\n<\/ul>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-cb6deb8da250598cd8b76b506dc2cd6f\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>14. Data Encryption<\/strong><\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-5270b65568d3f3b9411d660555dbe662\">Oculera uses in Services industry-accepted encryption practices to protect Customer Personal Data and communications during transmissions between a Customer\u2019s network and the Services, including 256-bit TLS Certificates and 4096-bit RSA public keys at a minimum.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-986d6facead34d99446c655de251e95c\">Oculera audits the TLS ciphers used in connection with the provision of the Services with third-party security auditors to ensure that anonymous or weak ciphers are not used. These audits also confirm that the Services do not allow client renegotiation, support downgrade attack protection and forward secrecy.<\/p>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size wp-elements-55405ed33b63c3f5939ce5e7f417e85e\">Data shipped to Amazon Web Services is encrypted in transit and at-rest using AES-256 encryption via Amazon\u2019s managed encryption key process.<\/p>\n\n\n\n<div style=\"height:10px\" aria-hidden=\"true\" class=\"wp-block-spacer\"><\/div>\n\n\n\n<p class=\"has-noir-color has-text-color has-link-color has-l-text-font-size wp-elements-30a63d702d0680e7b43993d84ebf917e\" style=\"font-style:normal;font-weight:700\"><\/p><p class=\"has-noir-color has-text-color has-link-color has-inter-font-family has-l-text-font-size\" style=\"font-style:normal;font-weight:500\"><strong>15.
